Surprising to me, that Northstar's attorney got this "on the record" with the clerk of the court, early AM today, just before everything shuts down for the long Thanksgiving holiday weekend. I believe you are 100% correct that Northstar Biotech and this attorney, they ain't a "messin around" anymore, like seem to me they're DEAD SERIOUS about this deal.

The judge, prior, had instructed USRM and Northstar to go and "negotiate/mediate" and looks like that came to a dead end obviously, as the Plaintiff attorney knows not to go before the court and said judge and waste her time filing for a "trial" if he's not already prepared to state, "We tried as hard as we can to work it out with the other side, but they won't budge" (paraphrasing of course) so we're SETTING/REQUESTING TRIAL and lets roll.

HOLY COW...I wonder if this also affects USRM's/Tomas' ability to get more toxic debt financing? If I remember correctly (I'll have to do a re-read on SEC FILINGS) but it seems to me that Magna for example, has enough legal-eze speak in their "convertible debt contracts" to choke a horse, including all sorts of language that the company (in this case USRM) not be involved in certain types of "legal proceedings" etc. Not sure, but will have to check. I noticed in this last 10-Q, they only took on a tad more convertible debt with Fourth Man, but that might of even occurred right before the lawsuit was filed? Need to check that out also.

NOT LOOKING GOOD HERE seems to me, costs big bucks to "go to trial" and USRM ain't got much cash left on them ole books and has "tapped out" borrowing against ALL future in-coming receivables already (PowerUp Lending group "factoring" loan(s), SEE 10-Q), etc This could break um cash wise, or darn near, seems to me?

Northstar looks like they're playing big-league hard ball seems to me. Also, this just issued 10-Q, it was like Tomas was trying to pin this all back on ole Chuck Hart, the BOD member that Tomas fired recently (and Sam Ahn the other long sitting BOD member "left on his own" if one believes that, LOL !)- but Tomas put a 10-Q statement in about "investigating Charles Hart". My guess, that ended the ole "negotiating" right there and Northstar's attorney just said, "SEE YA IN COURT, GOOD LUCK" !

"On August 30th, 2016 Northstar Biotech Group, LLC (“NorthStar”) filed suit against the Company, of which the Company received notice several weeks later. In its suit, Northstar is seeking a declaratory judgment from the Court as to whether its preferred shares were the subject of the Company’s reverse stock split effective November 4, 2015 and also seeks the appointment of a receiver. Northstar did not seek money damages. The Company disputes Northstar’s claims and intends to vigorously defend this matter.

On November 7, 2016, the Board of Directors, formed a separate committee to review and advise on improper activities undertaken by Charles Hart both during his tenure as a member of the Board of Directors and subsequent to his termination from the Board of Directors, specifically during the ninety days following his termination in which he is still considered an affiliate of the Company. LOL, yeah, "try" and pin it all on Charles Hart, Miguel. Right on. "form a committee" and now GO TO TRIAL, LOL !!

Notice too, that Miguel wrote in the 10-Q, that they "found out several weeks later", LOL !! YEAH, READ THE COURT FILINGS, it's cause YOU USRM, YOUR AGENT FOR SERVICE OF PROCESS, was in hiding from the damn "process server" at his "house" where the attorney dude lives/lists as his "office" and place of business, so the process server finally just went to the ole "USRM HEADQUARTERS" ole "suite" and SERVED WHOEVER THE FIRST COMPANY REPRESENTATIVE WAS BEHIND THE FRONT DOOR, LOL !! When your "attorney dude" for the ole "service of process" CAN NOT BE REACHED, and operates out of a residential home, it might cause a "TWO WEEK DELAY", ya think, trying to serve the lawsuit, eh ???? "MAYBE", LOL ????

Just check the Florida Secretary of State corporations website, and you'll find that's the dude who's the "PROCESS OF SERVICE" contact for ole USRM. When a dude won't answer his front door, or be "served" (AND the process server states to the court he even left notes on the dude's car in the driveway, notes on the door, etc), yeah, you might "find out a few weeks later" about the damned lawsuit, IF you believe that Miguel really didn't actually already know about the freaking lawsuit (wink wink, nod nod).
