You can have many rules.....like

The duty of loyalty forbids directors to “stand on both sides” of a transaction and prohibits them from deriving “any personal benefit through self-dealing.”

But knowing KB's business acumen....there is no regard to follow that procedure. I do not trust KB with any rule, law or ethical business practice. IMO
