I am not sure there is necessarily any current plan to significantly alter the size of the board. From the language of the proxy statement, it appears that SUNW's immediate concern is that the certificate of incorporation does not state any number or range for the board's size.

Here's what the proxy states:

The Company believes that it is in the best interest of the Company that the Board of Directors has the right to fix the number
of directors of Company from time to time. The ability to do so will allow the Board to add directors expeditiously as it sees fit to
augment the experience and quality of the Board to ensure the Company’s long term success. The Company’s Bylaws which were
adopted on in March 2002 provide that the right to change the minimum or maximum number of directors shall be made only by
amendment to the Company’s Certificate of Incorporation. However, the Company’s original Certificate of Incorporation is silent as to
the number of directors that shall serve on the Board of Directors. The Board of Directors therefore believes that it is in the best interest
to have the Certificate of Incorporation amended to vest the power to fix the size of the Board to the Company’s directors.
