These documents show that, contrary to Defendants’ misleading submissions to the district court, the Net Worth Sweep was adopted for the improper purposes of awarding windfall profits to Treasury and preventing the Companies from rebuilding capital and returning to a sound and solvent condition.

These aims are antithetical to Defendants’ statutory responsibilities under HERA, and the Net
Worth Sweep must be set aside.
