Blue Diamond Ventures, Inc. (BLDV) – Denver Colorado: May 3, 2016, informs shareholders that the company has acquired Michigan Plant Technologies LLC (MPT), Inc. as a wholly owned subsidiary.
As Noted in the BLDV’s 3rd quarter report filed today with the OTC markets, Blue Diamond Ventures, Inc. CEO: Joshua Alper is proud to announce that - Blue Diamond Ventures, Inc. has leveraged the existing lease / purchase agreement along with an allocation of the company’s stock to acquire Michigan Plant Technologies LLC (MPT) as a 100% wholly owned subsidiary of Blue Diamond Ventures, Inc.
MPT is to be renamed: United Sustainable Technologies LLC (UST), to reflect the fact that the company will expand outside of Michigan and integrate the Controls & Solar Energy initiatives of Blue Diamond. UST includes a fully licensed commercial kitchen, along with distribution of Sustainable Growing, Cleaning & Agricultural Products aimed at the Cannabis Industry. The UST kitchen is fully licensed by the State of Michigan and currently produces the” BOT Bakery Brand” of Vegan & Gluten-Free Savory and Sweet products. BOT Bakery has developed multiple edible products in the Medical Marijuana space.
UST will continue to manage the current MPT R&D Test Facility (Formerly Managed by Green Science Inc.) in Southwestern Michigan, as well as the company’s distribution center for its line of products.
The agreement calls for Blue Diamond to leverage 20 million shares of restricted preferred series B stock, which will have a designation of 3 to 1 conversion into common stock. The agreement also contains a leak out clause limiting the sale of common stock once converted to no more than 1% of Blue Diamond’s outstanding share count at the time of sale per quarter.
