We have entered into a Controlled Equity OfferingSM Sales Agreement, or Sales Agreement, with Cantor Fitzgerald & Co., or the Agent, to offer and sell up to $43,560,000 of our common stock, $0.001 par value per share, offered by this prospectus supplement and the accompanying prospectus.
In accordance with the terms of the Sales Agreement, we may offer and sell shares of our common stock at any time and from time to time through the Agent as our sales agent. Sales of the common stock, if any, will be made at market prices by any method that is deemed to be an “at-the-market” offering as defined in Rule 415 under the Securities Act of 1933, as amended, or the Securities Act, including sales made directly on the NYSE MKT and any other trading market for the common stock, and sales to or through a market maker other than on an exchange or otherwise, or any other method permitted by law.
The aggregate compensation payable to Cantor Fitzgerald & Co., as sales agent, shall be equal to 3.0% of the gross sales price of the shares sold through the Agent pursuant to the Sales Agreement. In connection with the sale of the common stock on our behalf, the Agent will be deemed to be an “underwriter” within the meaning of the Securities Act and the compensation of the Agent will be deemed to be underwriting commissions or discounts.
Subject to the terms and conditions of the Sales Agreement, the Agent will use its commercially reasonable efforts consistent with its normal trading and sales practices to sell on our behalf any shares to be offered by us under the Sales Agreement. There is no arrangement for funds to be received in any escrow, trust or similar arrangement.
Our common stock is listed on the NYSE MKT under the symbol “TRXC.” On February 5, 2016, the last reported sale price of our common stock on the NYSE MKT was $3.39 per share.
