Los Angeles, California (FSCwire) - Embarr Downs, Inc. (OTC: EMBR) announced today that on May 19, 2015 the Company entered into a verbal agreement to merge with Pest Pilot, Inc. On June 5, 2015, the Company executed the Merger Agreement between the two Companies. As part of the merger, the Company rescinded the acquisition of WB Partners as no compensation was provided as part of the acquisition. The Company expects that the merger will close on June 30, 2015. The merger will result in a change of control of the Company and will be a reverse merger for accounting purposes. As a result of the reverse merger, Joseph Wade resigned as an officer and director of the Company and replaced with Lane Moser. The Company will file a Form 10 once the audit is completed of Pest Pilot.
