Definitely agreement could be tweaked, I like this:

"In addition, the deal would not include rights to new indications for NeuVax..." Broader rights would have to come at higher price definitely and with time limits in case the other (bigger) co. didn't exercise its rights to market adequately, there have to be benchmarks
...Lots of details.

Even my partner and I @our modest level once licensed a proprietary product to a bigger co. which didn't deliver what they promised but "adequate" wasn't adequately defined by our lawyer... however I got us out of it but learned lots of lessons.

However if the smaller co. in need of cash and ongoing support d/not give away enough they won't be desirable.
I'm sure Galina has acquired top-notch legal help by now, who can expand into this area of licensing...
