On May 5, 2015 we entered into a Share Exchange Agreement with WW Digital Marketing Group, Inc., D/B/A “WeedWeb” (“WW”), whereby we acquired all of the issued share capital of WW in a cashless exchange of GBHL stock. This transaction closed on May 11, 2015. WW therefore became a wholly-owned subsidiary of GBHL effective that date. WW provides professional web and mobile software to the legal cannabis industry by helping legal marijuana business owners connect with ancillary professional service providers and vendors, and to provide an online platform for existing businesses to market their products and services to this related legalized industry (see Note 6 “Subsequent Events” ).
