Zijin Mining Group to Acquire 9.9% Stake in Ivanhoe Mines -- Update

Chinese metals producer Zijin Mining Group Co.(ZIJMF) said Monday it would acquire almost a 10% stake in Ivanhoe Mines Ltd.(IVPAF) for about 105 million Canadian dollars ($82 million), as part of a potentially bigger investment to help the Canadian mining company develop projects in the Democratic Republic of Congo and South Africa.

State-owned Zijin is a large gold, copper and zinc producer in China with additional mining interests in Australia, Russia, Tajikistan and Kyrgyzstan. The 9.9% stake in Ivanhoe Mines(IVPAF) offers Zijin the opportunity to increase its copper reserves by giving the Chinese company access to Ivanhoe's Kamoa and Kipushi projects in Congo's southern province of Katanga. Ivanhoe is also majority owner of the Platreef platinum, palladium, nickel, copper and gold project in South Africa.

China's voracious appetite for copper is behind moves to seek out additional reserves of the industrial metal to help feed the Asian giant's economic growth. However, Congo's political uncertainty makes investing in that country relatively risky, and in the past has deterred other mining companies from investing there.

"Ivanhoe and Zijin are in detailed, friendly discussions about the strategic co-development of our Kamoa copper discovery," mining magnate Robert Friedland, Ivanhoe's executive chairman, said in a statement.

Zijin Chairman Chen Jinghe said his company plans to "closely cooperate in the development of Ivanhoe's mines."

Zijin becomes Ivanhoe's second-biggest shareholder after Mr. Friedland, who owned a 23.7% stake as of June 2014, according to FactSet.

The deal gives Ivanhoe a partner with deep pockets. The mining company estimates it will need to invest $1.4 billion in Kamoa's development even before the mine is ready to start production, according to Ivanhoe's website.

It also represents an important win for Mr. Friedland, whose investments have been hit hard recently by the downturn in commodity prices and the difficult environment that has created for development-stage mining companies trying to raise new money.

In 2013, The Wall Street Journal reported China National Gold Group Corp., China's biggest gold-mining company, had examined buying a stake in Ivanhoe, but that effort didn't go anywhere.

In Toronto, Ivanhoe's stock price was recently up about 18% on the day at C$1.14, but still down about 76% since the company's initial public offering in 2012.

Zijin is paying C$1.36 a share, a significant premium to Ivanhoe's share price, for its 9.9% stake, signaling its confidence in Ivanhoe's outlook.

Last month, another company in which Mr. Friedland is the largest shareholder, Ivanhoe Energy Inc.(IVANF), filed for bankruptcy protection. Canada'sToronto Stock Exchange plans to delist the energy company's shares on Thursday.

Ivanhoe estimates, based on independent analysis, that its Kamoa prospect could contain up to an estimated 43.5 billion pounds of copper, making it the world's largest undeveloped high-grade copper discovery. Kipushi is already a working copper mine and contains an unmined zinc deposit. Ivanhoe doesn't provide an up-to-date resource estimate for the project on its website.
