San Gold willapplytotheCourt(the"SaleorInvestmentApprovalMotion")withnotless4 business days notice unless such shorter notice is approved by the Court to affected parties for an order approving the Successful Bid and authorizing San Gold to enter into any and all necessary agreementswithrespecttotheSuccessfulBidandtoundertakesuchotheractionsasmay be necessary or appropriate to give effect to the Successful Bid,
33. The Sale or Investment Approval Motion will be held on a date to be scheduled by the Court upon application by San Gold.The Sale or Investment Approval Motion may be adjourned or rescheduled by San Gold or the Proposal Trustee without further notice by an announcement of the adjourned date at the Sale or Investment Approval Motion.

34. All Qualified Bids (other than the Successful Bid) will be deemed rejected on the date of closing of the Successful Bid.
