You might be interested in the Taylor Moffitt connection.

He seems to be the mastermind behind the Tuzzolino, Kelso, USCoproducts shares given in December, 2013.

Moffitt explained in his now-secured video how he is getting a group of investors together to do just what we are seeing. Get major control of a distressed company for little cash, then parlay those shares by doing a public offering. He hit a speed bump when the OTCBB announced it was closing up shop:

Also, as for selling restricted shares....

Orpheum (now Axiom (PLFF)) ex-managers, are currently being charged by the SEC with (among many other things) using bogus "Attorney Opinion lettters" to sell restricteds of Treaty Energy (TECO)

Tuzzolino did a scam deal with PLFF, receiving millions of shares for worthless land... and I suspect Tuzzolino is a Moffitt puppet.
