"After discussions with accountng and counsel a plan has been discussed on how to move ahead, get out of our slump and also keep GNGR owned by the current shareholders and how to move ahead. I will first discuss our defeciencise and strengths and how to correct and better those issues. GNGR has been staying alive on limited sales and with great costs over the years. GNGR attempted a marketed capital rasie in 2012 with great excitment we would have out needed $600,000 to move ahead with operating capita. GNGR went public as mentioned in the past at significant costs with the idea that we would than be able to rasie capital after being public which did not happen.

This lack of capital made every day operating GNGR as a month to month company similar to a peson who works and just gets by month to month. We did manage to secure many times significant orders for casinos, some $12,000 and others $8000 many times but with no consistentcy. We proved we can sell to big box store like BJs wholesale clubs as proven by the 5 stores we were at in the past. GNGR created the BEST new piece of equipment The VORTEX that anyone has ever seen or used and we had 5 people who wanted to puchase one of our units soon after the video and website was launched.

GNGR had the rights to BETTY BOOP which could have been our first consistant multi million dollar consistent order year after year. Our fudge has proven it self as well year after year with consistent sales in retail, wholesale and on line sales.

Our mold technology that is being requested by many in the insudtry from larger national distribution companies (like the pirate lollipop mold) is in very high demand but after the mold is made by GNGR for a small fee, those who produce and sell 10,000 molds for $2 and than those who buy the molds nationwide who make the lillipops all make fantastic money while we only get a one time mold charge. Obviously it would be in GNGRs best intersts to sell those masters for $3500 and not just $100 and take in 500 a year as a mold making service instead of lacking beihnd the money chain.

Many alredy know that since going public in 2008 and with out any additional capital rasied other then the amount in 2012 we paid on average the costs for rent and overheard utilities about $5000 per month for 7 years. This total was around $420,000.00 not including employees and equipment purchases along the way. Having operated in 7 different locations with reasons to move due to locations being sold or huge rent increases made it hard to get ahead with no capital avalable even with the public entity to attract investors who could clearly see that with capital we can move ahead and create a highe share price like any other public company.

So GNGR is in a strage place. We are public and completly legatimate with real products, services and more ideas on the drwing table. We are simply lacking capital that is it. GNGRs share hodlers are all looking out for themselves while I alone have to look out for the company and everyone as well as myself. With 450 shareholders in GNGR I end up finding that I have to talk, email, explain and also ignore many as well. I the CEO cannot be the Public relations depertment for everyone which has taken so much time away from our goals and work time to the point I had to decide if this is worth working for as a goal.

I have share holders asking me to dump BILLIONS of shares on the market for $.0001 and use some of that money to pay them back knowing it would ruin GNGR and all other share holders. I have people emailing me saying I screwed them only to find out on the stock transfer dopcuments that they dont even own shares. There are bashers as well who dont even own shares who mainly tell you to dump GNGR and buy what they suggest and I have some who ask if they invest $10,000 can they have a $80,000 a year salaried job and others who say if I pay them $5000 amonth they will make the negative posts stop and if I dont pay it will get worse. This list of damaging requests, lies, threats, rediculious offers and blackmail is pretty much a daily occurance. Not to mention the small weak minded folls who realy on lies posted on chat rooms to get valid information from people who dont even own GNGR shares. This is why a PR firm is needed for accurate info and not some chart board.

These actions do not happen to companies that are meerly some pump and dump gold mine or alternative energy public company mainly becasue they opereate out of a suite and use cell phones and are never accessable. THis also does not happen to larger public companies because they can afford a public relations company who can take that task away from the actual company. For this reason a PR firm is probably the most essetntial part of a public company aside from capital (with no capital you cant pay a PR firm).

What I will be proposing after this letter to everyone will be what was decided as the only logical choice as to how to move forward with GNGR before we run out of capital or I loose my mind trying to do everything that I know now I cannot. I have stated many times that I have not as of yet since 2008 taken ONE paycheck or any capital that would be even close to what minimum wage is. I drive a 1993 buick roadmaster and have our home up for sale so we can scale down. During most of the active times for GNGR, Marcie (my wife) was working for a large corporation earning just under $100,000 and was able to cover all our living expenses as well as personal needs and bills while I focused on growing GNGR with no salary. Once her company downsized and she was laid off we were not able to use our public companies stature to attrct any investors causing GNGR to once again slip into dormancy for the 3rd time. We managed to pull out of that twice and there is still the chance to as well again with many years of knwoing what not to do and one is paying out in rents more money then it would have cost to buy our own building. For this reason and other reasons mentioned GNGR will be going to emerge from this 3rd slump and move ahead smarter and with less overhead and ally with industry professionals who help GNGR.

GNGR managed to go public, Do what we said we would do in respect to start to get big box sales like BJs, get product into local and some national markets and even diversifiy into other aspects such as the Vortex and other mold based ideas like soap and candle mold technology. Of course we had to deal with those who want nothing more then to see GNGR fail to the point some called 7-11s to complain. Are these people hired by NESTLES to do that because they lost thier lawsuit with us? is it someone who just is a vindictive person who has failed themselves and wants others to fail? Is it a rival local chocolate company who is jelous we had the righs to Betty Boop and had products in BJs wholsale clubs when they were unable to get thier products there? no one will ever know what people do to cause harm or sway investors through their own insecure but effective discussions.

One thing is for sure. GNGR has not failed yet and even though Billion dollar rival giants took action out of jelousy and failed or people looking to cause harm to our share holders for some other pesonal motives, GNGR is still here but vulnarable to others who see our shell and products as a potential success to anyone with capital. If a new company has millions to use, they could easily fianlize the VORTEX, market it and see sales in the 10's of millions as well as be able to show COSTCO they can produce enough gold brick fudges like we did for BJs 5 stores but for all stores including Target, Sams, Walmart and many others.

GNGR is not a poorly run company, GNGR is a company that is just poor and cant run. With limited capital we had to stop paying the pinksheet fees, some legal fees, filing fees and other administatvie fees to be current. There would also be no reason to pay those fees just to show we are not doing well and deplete everything we had just to be current with limited sales.

So whare is GNGR NOW! we are still public but again have decided what is best for everyone (this time ME included). I had mentiond that we had been offered to sell our shell but declined (more then once) and I also kept to my promise that i would not reverse the shares even though some of those negative posts stated we definietly would. I can easily sell the shell move anyplace and just be a freelance mold maker and make $100,000+ a year out of my home studio and that would be that. BUT I still have an obligation to see GNGRs success or till the bitter end with out giving up. With that I will post the decided plan moving forward."
