As an officer , he is entitled to sell up to one percent of the outstanding shares each quarter. Instead of selling restricted shares at a discount to raise funds for the company, he sells his own shares and purchases the sold shares at a slightly higher price than he sold them. If the company had the resources, the company would file an S1 and raise funds in that manner. Since the recent volume is heavy in recent months, it would make sense to avoid selling shares at a discount and it would be much easier to raise funds.
