Canwealth Minerals Corporation (Canada), or Canwealth Canada, was formed
on
February 1, 2006 under the laws of the Canada Business Corporations
Act. Canwealth Canada’s mission is to explore the mining claims it has
registered in various areas of Northern Quebec, which based on assay reports of
preliminary surface samples taken from these sites, has shown to contain traces
of various elements such as gold, silver, copper, rare earth elements, or REE,
and other minerals.

Prior to the consummation of the merger described in the following paragraph,
the stockholders of Canwealth Canada contributed their shares of Canwealth
Canada to the Company in exchange for shares of the Company’s common
stock. Accordingly, Canwealth Canada became a wholly-owned subsidiary of the
Company.
