The sale of securities to a relatively small number of select investors as a way of raising capital. Investors involved in private placements are usually large banks, mutual funds, insurance companies and pension funds.

Private placement is the opposite of a public issue, in which securities are made available for sale on the open market.
These shares are usually bought by accredited investors - To be an accredited investor, you must be one of these:

a bank, insurance company, registered investment company, business development company, or small business investment company;

an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;

a charitable organization, corporation, or partnership with assets exceeding $5 million;

a director, executive officer, or general partner of the company selling the securities;

a business in which all the equity owners are accredited investors;

a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person;

a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year;
or
a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.

$25K Day Trader Rule - Explained
I was asked about this the other day and thought there may be some in here with the same question...
If you do more than 3 round trips (Buy & Sell the same stock within the same day) within a 5 day period, you will be marked as "A Pattern Day Trader"
You will retain this stautus for 90 days, unless you bring your account balance to or above $25K.
This does NOT mean that your trading account will be Frozen for 90 days
This does NOT mean that you are in trouble with the SEC or FINRA
It DOES mean that you will not have the privalages of a Margin Account for 90 days
Which in turn means that you will not be able to use funds from a closed trade, until such funds clear.
A margin account requires a $2K minimum balance and allows you to trade with funds that have not yet cleared.
It takes 3 days for trade funds to clear.
While you are in "Pattern Day Trader" status your trading account will be a "Cash Account"
To achieve the $25K balance which will allow you margin and more than 3 round trips in a 5 day period you can deposit money in a separate account than the one you trade with.
You can even transfer your IRA account to your broker account to make up the difference and give yourself a higher margin allowance.

Let me now carefully define each one of the reversal time frames, and review their idiosyncrasies and tendencies. For each reversal time is unique and possesses its own individual character.

The Eight Reversal Times Defined and Explained

As mentioned above there are eight specific times around which stocks and the market in general tend to consistently turn or reverse. These Key Reversal Times are as follows: a) 9:50 – 10:10; b) 10:25 – 10:35; c) 11:15 – 11:30; d) 12:00 – 12:15; e) 1:15 – 1:30; f) 2:15 – 2:30; g) 3:00; h) 3:30. All times are stated using Eastern Standard Time. Let’s now delve a little deeper into each one.

When a firm “goes dark” it deregisters with the Securities and Exchange Commission (SEC) and delists its shares. Deregistered firms are no longer required to make SEC filings such as annual reports, proxies, 10-Ks, 10-Qs and other important documents. And they’re no longer required to have annual meetings or elect outside directors.

To deregister, a firm files Form 15-12G (Securities Registration Termination) with the SEC stating its intent to deregister, usually by a certain date. Once that date arrives, the stock exchange or NASDAQ prohibits future trading in the shares.

The firm’s shares are then relegated to the pink sheets, where liquidity is usually much lower. Although the actual process takes some time, the firm’s share price typically will decline immediately after the “going dark” announcement, since many institutions are prohibited from owning shares of firms that don’t file with the SEC or trade on the exchanges or NASDAQ.

Shareholder Action Plan

The lessons here are several:

If a company you own announces plans to deregister, don’t panic. If the fundamentals are intact, the shares are probably worth owning. Even in the less liquid pink sheets, shares of firms with improving fundamentals will appreciate.

However, you should call the firm immediately to assess their plans for ongoing communication with outside shareholders. Ask the same questions we did of Southern Energy Homes—which gave the right answers.

If you receive answers that indicate communication will be lessened, there may be some governance issues relating to the treatment of outside shareholders. For example, we would find it difficult to own shares of a company that provided only an annual report and had no annual meetings or election of directors.

Make sure the fundamentals are intact. Use the deregistration announcement as an opportunity to perform a thorough review of company prospects. Often a firm will deregister to help hide a deteriorating financial condition, bad accounting or other ailments

For QASP, we are now in the downtrend line between b and 2c often called the Bear Trap. People are rid and ready to sell.
Sometimes you have to sell too, cause it's just a theory.

Things like: A/S increase or massive dilution beginning here would crash the pps completely.

Nothing like that here, but we are are still in stinky pinky land,so anything can happen...

Notice also that the first (iii) and b in the diagram is between .0024 to .0028 or so for QASP, We reached those many times since March 25th ( (iii) )...
