Share tampering, manipulation, etc. are all reasons for an SEC probe, but outright lies about valuations of in-ground resources are a good reason too. It is easily provable as fraud.

The SEC has to allocate its limited resources and time, and some companies like CJTF are "low hanging fruit" - such outrageous lies in their promotions that they become easy targets of investigation.
