About the auditor's resignation:
Due to the ongoing lawsuit filed by the U.S. Securities and Exchange Commission resignations of officers and directors,
the Company has no resources with which to retain a new independent auditor and has no plans to do so in the forseeable future.
Without an independent auditor the Company will not be able to make its required quarterly filings on Form 10-Q
or annual filing on Form 10-K and will likely fail to meet the requirements for continued listing on the OTCQB.
