Haltain will be required to effect a corporate reorganization prior to undertaking any of the transactions outlined in this Letter, and in relation to its corporate reorganization will seek shareholder approval to spin out a subsidiary which will then acquire the assets and liabilities of TargetCo or seek shareholder approval to approve the amalgamation.
