"Reverend Ortiz" is still CHAIRMAN of TDEY, correct?

He's presumably still the majority shareholder as well. That means he currently calls the shots for TDEY.. including hiring anyone as CEO.

...immediately after the closing of the Merger Transaction, Ms. Susan Sjo, William B. Westbrook, Luis Vega, and Ronald Vega will constitute the entire Board of Directors of the Company.
