the sec and the alj made the recommendation that exad accept revocation. that leaves the door open for the company to file a form 10 if it gets it's act together. if they had fought revocation the likelihood of the sec accepting a future form 10 would have been slim to none. feeling that that is a bright side is up to each individual.

Stuck here too, wouldn't the revoking be the first step in re-registering shares and eventually trading again? So in that sense it's a good thing?? I noticed it said the revokation was to impose the sanction in the respondent's offer... respondent is EXAD meaning it's going along with the offer EXAD submitted to the SEC to resolve their deficiencies, which I assume is along the lines of their last 8K:

The transaction will be completed via a Triangular Reverse Merger once the audit in completed on the financials of the subsidiary. BDCI will offer its shareholders the opportunity to voluntary exchange their shares of BDCI for shares of EXAD. The current officers and Board members of BDCI, Eugene Caiazzo and Gary Brown will assume the same positions in EXAD, all current officers and Board members of EXAD shall resign.

Once the Triangle Reverse Merger is complete, the next step appears to be:

NOTE 9 - SUBSEQUENT EVENTS
The Company recently became aware of a merger transaction in 2008 that will make it very difficult, if not impossible, to audit the public company and file a Form 10. Since learning of this and desiring to be a SEC reporting company, management has been in discussion with an OTC Reporting company to engage in a merger that accomplishes several things;
