All assets and money should be frozen at the onset of an SEC / DOJ investigation just as the IRS can freeze all assets before any trial.

These hoodlums walk with fraudulently obtained money and that's so wrong!

Ive been saying this day would come as soon as the whole Pam Anderson pump scheme started. In one way I am shocked it took this long. But in another way, I am shocked they did it this fast. The commission is so unpredictable on action items and their timeliness.

I said to get rid of them while there was a bid right after the arrest, thank goodness I salvaged some of mine and wrote off the rest. $FROG. I would put them up "penny for the lot" and use the tax write off, IMO, because there will be no run.

George Sharp, announced today that the first subpoenas have been issued by the court in regards to the previously announced litigation (San Diego County Division of California Superior Court Case No. 37-2013-00048310-CU-MC-CTL) for violations of California Business and Professions Codes 17529.5 (Anti-Spam). In his complaint, Mr. Sharp alleges the spam emails are part of a scheme to artificially create a marketplace for the stocks of near worthless companies, at artificially high prices, in what is commonly known as a "pump and dump" scheme.

Named as defendants in the case are: Degroupa Tenner Morales Media Corp. and Centro Azteca S.A., the current and former publishers of the Awesome Penny Stocks series of newsletters; and, Victory Mark Corp Ltd., the publisher of newsletters Select Penny Stocks, Preferred Penny Stocks and Penny Stock Heroes. Several companies promoted by these newsletters are also identified as defendants, including the subject of the current promotion, Xumanii (OTCQB:XUII).

In the course of the promotion, startup Xumanii, a one-man operation purportedly headquartered in the Cayman Islands with total assets reported to be $80,000 and liabilities of almost a million dollars, claims to have established business relationships with a variety of performers and infers endorsements from megastars. By the company's own admission, none of these relationships will add revenue to the company's bottom line. Mr. Sharp cautions investors that celebrity name dropping or endorsements are often used to attempt to attempt legitimize a penny stock fraud, often without the knowledge by the celebrity. Recently, celebrity relationships have been used to tout FrogAds, Inc. (Pink Sheets:FROG) and Genmed Holdings Corp. (OTCQB:GENM), two schemes for which 14 parties were recently indicted by the Grand Jury for securities fraud, under complaints 125526814 USA v Mazur Et Al. and 125529135 USA v Possino Et Al.

Mr. Sharp, advises investors in Xumanii, that every Awesome Penny Stock Ponzi-scheme style promotion, has left a trail of those whom have lost almost their entire investment, totaling hundreds of millions of dollars in losses, including those on past promotions conducted on fellow defendants, VuMee, Inc. (OTCQB:VUME); Amwest Imaging, Inc. (OTCQB:AMWI); Goff Corporation (OTCQB:GOFF); Swingplane Ventures, Inc. (OTCQB:SWVI); World Moto, Inc. (OTCQB:FARE); Taglikeme Corp (OTCQB:TAGG); and, Pharmagen, Inc (OTCQB:PHRX). Several hundred of these victims have written emails of gratitude to Mr. Sharp, since he first announced this litigation.

Investors should note that it is never a good idea to invest in stocks advertised in any manner, including email tout sheets, conventional mail brochures, and newspaper/magazine ads, nor is it wise to rely on the advice posted on the internet message boards which are controlled by shills for the promoters.

Is there any way share holders can form a board and install new leadership. I am clueless to the law, and though maybe a poor choice in the purchase of this stock. I still believe this is a great idea. Is there anyway to save The Frog? Also I just checked FROGADS and the web page is still up

Pre-Trial Services in the Central District of California has most likely stipulated and approved by the judge/court that Julian does not engage with the company or securities while he proceeds through trial and the order is modified based on circumstances and orders from a later date.

Since he decided that he is the only officer, and only director, and he decided to issued billions upon billions to shareholders all over the world, there are no shareholders left to fill the vacancy at the board.

There is nobody to sign board resolutions, no officer to engage in day to day operations, and no large shareholders to effect a written consent to enforce a shareholder action. Based on Nevada law, someone will petition the court in Nevada to take over the company and assign a trustee. But as we know there are more liabilities that assets, so the shareholders will get squat. And the SEC will file a 12(j) invoking Section 12(k) suspending the stock, and it will never trade again.

Julian's cohort in his arrest, Colin Nix faces life in prison.

Julian faces numerous charges, including $6.8 million in securities fraud. I am going to guess Julian pleads down in two years from now to 5-10 years inside a federal facility.

He will get 10 years probation, $6.8 million in restitution, a fine, and penalties, and if he does not pay, he will have to get incarcerated for violation of probation. He will be banned from the securities industry for life.

Guess what that means. He cannot pay $6.8 million without scamming shareholders. So he will fail to pay restitution and get picked up by probation and find himself doing more time.

That is what career criminals do.

Does any have any info on this company what's going on with it. I see post about Frog dying does anyone have any real info I just called the Company number list on the OTC Pink sheet and got a voice mail response I punched in for Julian Spitari and got rolled over to an active cell phone number. I left a message I will advise if I recieve a response. I also contacted the Attorny listed as Leo Moriarty and left a message as well. The Web Page is still active wich is a good sign.

Rarely do I drive by Malibu CC, it is in the mountains and basically right in the line of the fire as it moved to Newbury Park, and Malibu High just sent the kids home to use the school as an evacuation center. You playing at OCC many times, I bet our paths have crossed. Lucky you for all the opportunities life brought. As far as Mid-Pac, I told you I was living in Kailua, our home, before I was born was on the 5th Fairway at Mid-Pac before they moved the course completely over the canal. If you played Mid-Pac in the 1960s, you saw my house.

I wish you much enjoyment on your golfing, I probably was the kid in the canal on the row boat chasing lost golf balls back in the 1970s.

I've played OCC many times, I grew up there. I prefer Mid Pac. I've played every course on Oahu, except for Royal Kunia. I've also played on every course that I wanted to, in the greater LA area, except for LACC North, and Wilshire CC. I played at Malibu CC a bunch of times, but my home course was PV. Since you brought up Karate, I know the Funakoshi family, and I met Sensei Hirokazu Kanazawa one time when I was young.

I do not know who Julian's counsel is. I have not spoken to Pam since I told her to escape the penny stock world. I have not physically seen her since her young ones left the Malibu School system.

Wailae CC? Nice, lucky you got to play there. Considered one of the most premier CC in the US. I was born not in LA but at Kapiolani Hospital in HNL. When my grandfather passed away a few years ago in Kailua, I stayed at the Mandarin, The Kahala Hotel. I stayed there a few times, once an ocean front villa, another on the fairway at Wainae. I never played golf there. Bummer. When my grandfather passed so did his membership at Oahu CC up Nuuanu by the Pali. Did you ever get a chance to play there. It is a nice view and always cool up the mountain. If you ever get a chance go there to see the view one day. You will like it.

Damn fire. My kids go to Malibu High, which is at Zuma Beach. Fire Alert today, as it moves into Newbury Park. Boney Pony Ranch is way out by county line and next in line to get hit if the fire jumps the ridge. Great day to live near county line.

You were born at KMCWC? Julian had a place in Encino, priced at around $1.7M. You referenced that Julian lived down the street from Joe and Kat Jackson. I remember you saying people used Mulholland, because the 101 and the 134 was jammed, and Haskell was a mess, after Michael's death. Calabasas is on the opposite side of Woodland Hills, next to Agoura. And, I didn't know you knew Pam. I read where she was selling her Malibu home for $7.75M to pay her tax bill. That property is so frick'n narrow, it looks like the 13th green at Waialae, 60 yds deep, and 10 yds wide, except with OB on both sides. When was the last time you spoke with Pam, and do you know who Julian's Attorney is?

I do not think there is anyone to sue at this point. As far as stock promotion, if that is true, that explains why someone keeps buying 2million shares every day. But they leave themselves wide open for fraud as they know the company is headless and directionless. Whomever promotes the stock is left alone on an island for the FEDS to pinch them easily.
