Update to Investors

This letter is intended to inform and update our investors as to the status of the company and its stock.
First, as I have discussed with many of you, our rapid expansion have allowed us to acquire some marquee locations that have strongly contributed to the company’s bottom line. Throughout this process we have determined that some of our acquisitions have not fit our overall expansion criteria. Our company as a result has now implemented a plan that has resulted in a dramatic shift in the company’s overall margin and financial viability. We have sold, closed or rescinded all of the locations that were not making a positive cash flow or that did not fit our overall expansion strategy. We have also reduced our management staff accordingly in order to streamline our operations. Furthermore, all current management has agreed to continue to forgo any compensation until such time as the company has the necessary resources to do so. As a result of implementing this plan, the company is now operating in a positive cash flow state and has become a sustainable business.
Secondly, we have made significant progress regarding the control and visibility of our accounting and financial position of the company, further reduced our cost of goods sold, and solidified our supply chain. We will continue to strive to increase our margins using this information to further reduce shrinkage and maximize our revenue and increase overall brand awareness.  As an example we have purchased and have installed drop safes into all of the locations.  This has eliminated the most common form of theft that we have experienced. Other near term plans include adding or upgrading camera systems with recording capabilities and remote access; which allows us to record and view all locations from anywhere at any time; live or historical. Locations that currently operate with this combination have proven to be our most secure. In an effort to increase revenue we have begun selling breakfast sandwiches and ancillary items. Additionally we will be launching our apparel store online including hats, shirts, and other novelty items as well as having some merchandise available in our locations. We have converted all but two of our stands to our “Baristas” theme of checkers with a red upper body and will continue to enhance the visibility and appeal of our locations.
Our launch has afforded us many successes but they have not come without challenges. There have been mistakes made and learned which has allowed us to grow. Many of these obstacles have been overcome; while others still require ongoing efforts in order to resolve to maturity. In retrospect we have made significant strides after evaluating all of we have learned, we are convinced of the viability and future of our business.
As far as the public side of the company; we have completed our name change to “Baristas Coffee Company, Inc.”  at the state level and have submitted to FINRA for it to become effective and requested a new symbol to be assigned.  We have been working with our transfer agent to complete their part of this process and believe that we will have this effective in the weeks to come.  There will no longer be a need to distinguish between Pangea, Innovative, or Baristas.  At that time all stock issued in the new name will be sent out to investors.  This has been a very difficult process as various changes in what regulators have been  requiring has forced us to change strategies on more than one occasion.  Never the less we fully expect to complete this process definitively and have liquidity in the stock, and complete our financing very soon.

That is a good question.. I typically don't make a change until the fat lady sings. I'd like to hear the merger went well and all is complete from an independent source but I don't have one.

"The situation" is all about gambling on a rising pps based on spurious results posted places like stock boards and PRs bought for cash. Good luck to the traders, but to claim faith in the truth of the PRs and the endlessly restated financials is usually part of a pump.

Just to restate unassailable facts, the CEO has been to jail more times than I have been to baseball games these last few years. Just ask him. The paper trail is in the county court house, but not online.

I'm saying that $384K for payroll against $70K revenue after cost of sale is just like the last couple of deals. Big checks for management, beautiful press releases, and resulting stock sales. Nice work if you can get it, and are unafraid of the consequences.

No cash for the stands only stock was given to get stands.

I made money on the other and plan on making it again on this one. My cost basis so far is .002 so lets see how it goes. Finacials showed over 100k in revenue which is refreshing. Why post financials if you are selling a story without substance. Because they help the situation.

Lets stay on topic..

You were saying that $500k was unreasonable to spend opening up the stands and $384k for payroll.

So how much then would be a reasonable amount to spend opening 13 stores and paying 50 employees?

That's why they call it a "Story stock." If you believe the story, or want to, it is a beautiful thing. If, on the other hand, you are a bit skeptical, you look at filings as things designed to be defended in court as (at least) minimally true, but the story can run wild.

For example, look at the same CEO's other financial filings, and when new management posted amended financials up in their place, there was quite a bit of difference. The more you want to believe, the easier it is to be deceived. But all we have to lose is money we already wrote off. I feel sorry for Scott Steciw, the last of the true believers.

For a laugh, imagine someone thinking there's any money left over for yourself when you have 50 employees, bought and renovated 13 stands and write down $500k on expenses.

Those same financials show fixed costs over a half million per quarter, mostly for management payroll, apparently. I find it fascinating to watch the CEO, hatching the same scheme again, in a slightly different way, IMO.

That would not bother me. I am more concerned with the performance of the company. Mostly when the expand to untapped regions of the country. The price is so artificially low due to nothing happening for so long and the tax selling. They timed this perfectly.

Hate to say it, but most pinkies with billions of shares issued usually reverse their dilution..

But there financials that are posted show that they all ready have over 100k in revenue and that was back in Sept. Certainly the market is reacting favorably. I am in.

Bikini Baristas & The Miss USA Pageant

It seems women in bikinis are causing quite a stir these days. Sometimes folks just can't leave well enough alone. An interesting trend has emerged out in the Pacific Northwest of lingerie and bikini-clad baristas. If this trend hasn't found its way to your neck of the woods yet, I imagine it's just a matter of time. That is, unless you live in the south because Southern folks don't play that mess. Seattle is known for bringing Starbucks to the world, but even Starbucks has competition these days. Instead of Starbucks, many morning commuters have often opted for locally owned, roadside drive through coffee stands. Smaller coffee stands have that hometown feel where you see the same barista every day and they know your ordering habits. What if one day you pulled up and your barista was sporting what I like to call "bedroom attire?"

A huge number of privately owned (read: mafia-owned) espresso stands centered on this business model have been opening up across the Pacific Northwest. With catchy names like "Bikini Baristas" and "Cowgirls Espresso" these new coffee stands have made it quite clear they aren't selling coffee. They are selling sex. What started out as women in bikinis has now become women in full out lingerie, thongs and all. The reader boards outside these establishments read like the ones outside the strip club or the peep show "Something hot is cooking inside!" or "Meet the new barista, Candy - weekdays, 5pm-close." The clientele these businesses are after is of course, largely male, and in my opinion, largely unethical.

These types of establishments open up a hotbed of issues and the legality is entirely questionable. Selling sexual images under the guise of coffee should require some sort of licensing just as strip clubs and other "adult entertainment" joint must obtain. Seeing these girls strutting around in plain sight of children is indecent exposure. I also worry about the safety of the young women involved. Most often they are under age 20, and while no one forced them into a negligee at gunpoint, these girls are being put at risk by this business model. Flaunting their goods on a daily basis to men, many of whom lack self control opens up a door that is not easily shut. With no security and only one girl working a shift at a time, what happens when someone shows up one winter evening wanting more than just a double tall nonfat latte? It is common knowledge that the sex industry is a magnet for all types of other crime.

As these coffee stands become more rampant, there are some citizens who aren't keeping quiet on the matter. This is why we need to pay attention to our state government with the same level of scrutiny we use on a national level. People who are smart know how to use legislation and their local city and county officials to build a society with standards. Just last weekend, my husband a group of others showed up to protest a coffee stand that recently opened up outside the entrance to a daycare facility. The local news arrived to cover the story and one angry parent who had the audacity to actually marry her beliefs with action got that espresso stand shut down in less than 24 hours.

I highlight this issue for a few reasons. We live in an age where the morality line is drawn in the sand and the tide is in if you know what I mean. The vocal minority of Americans get very uncomfortable with the notion of a hard line of "right" and "wrong". There is a tendency to adopt an "anything goes" mentality under the guise of liberty and freedom of expression. Scantily clad baristas are what we get when we continue in moral ambiguity. I am curious to know if those in other parts of the country could ever imagine businesses like this popping up?

Speaking of bikinis and moral ambiguity, the Miss USA competition took place this past weekend and much of the talk is not of the winner, but instead of Carrie Prejean, Miss California. Fox News (and a million other media outlets) reports:

When asked by judge Perez Hilton, an openly gay gossip blogger, whether she believed in gay marriage, Miss California, Carrie Prejean, said "We live in a land where you can choose same-sex marriage or opposite. And you know what, I think in my country, in my family, I think that I believe that a marriage should be between a man and a woman. No offense to anybody out there, but that's how I was raised."

A little wobbly on her stance, but she got it out and that's what counts. And now the furor has begun. I absolutely love it! The Miss USA organization's executives have released statements of "embarrassment" regarding Prejean's comments. No big surprise there. The Miss USA pageant is owned by Donald Trump--a model of morality if I ever saw one. What's more, it's widely-known that the biggest contingency of pageant fans is homosexual men. You can imagine the hubbub her comments are causing.

Why folks are shocked though is beyond me. Pageants contestants are known as being some of the most conservative around. I'm not sure what the big deal is. The woman was asked a question and she answered it the same way the majority of Californians (Black, White, Hispanic, you name it) did this past election when Proposition 8 was on the table. She's entitled to her opinion right? Despite what Hollywood leads us to believe, Prejean's opinion is actually widely held my many Americans--including many of those who voted for President Obama. And what business does that question have in a pageant anyway? Miss California should've gone all Mike Huckabee on Perez Hilton's behind (channeling pre-election Republican candidate debates when Huckabee was asked if he believed in evolution), she SHOULD have said the following (my words, not hers):

"It's interesting that question would even be asked of someone competing in the Miss USA pageant. I'm not planning on shaping this country's legislation or running for public office; I'm asking for the opportunity to be Miss USA. But you've raised the question, so let me answer it. In the beginning, God created Adam and Eve and the institution of marriage. A person either believes that marriage is a union between a man and a woman, or that it's not. And the basic question was an unfair question because it simply asked in a simplistic manner whether or not I believe in my view or yours. But let me be clear. I believe in marriage and I believe that marriage is between a man and a woman and should not be redefined as anything else. That is my view and it might not be yours. I don't think that my view would make me a better or a worse contestant for Miss USA. But I'll tell you what I can tell this country: if they want a Miss USA who isn't willing to stand for what she believes, I'm sure there's probably plenty of choices. But if I'm selected as Miss USA you will have selected someone who believes in those words 'God did create' and in the words of Martin Luther, 'Here I stand I can do no other.'"

Oh well. In my dreamy world that's what would've happened.

Killjoy Tattles On Drive-Through Bikini Coffee Shop Customers

A Washington man doesn't like coffee shops with scantily clad baristas, so he's staking the establishments out and then encouraging boycotts of businesses if one of their employees patronizes while driving a company car. Grade A, 100%, jerk.

The shops in question are in Snohomish County, Washington, just on the north side of Seattle, and serve coffee while providing eye-candy with bikini-wearing lady baristas. The stalker concerned citizen doesn't like this, thinks its crude and disgusting and offensive and probably hates puppies and the American flag too. Accordingly, he's set about surveilling these establishments, which have been spreading due to popularity and competition, and reporting on his cute little website any instances of a company owned vehicle pulling up for a fresh cup of joe, then he advocating a wholesale boycott of those companies. We're pretty certain the term "asshat" isn't derogatory enough. [KOMONews]

Well I guess we'll let the smoke clear and when it's all through we'll know how many stands they currently have.

I will meet you at their Auburn location ASUS so we both can see it is no rumor, I already been there once this week.

Also they took off their director of development off their website.

Baristas signs are down at two locations in Auburn and Tacoma, I am up in the Seattle Area for the holidays, I seen it as a fact no rumor. The old Java girl locations. Which makes sense because those two locations were once own by their director of development. I talked to a nearby business (storeclerk) and they stated police were there when the Baristas signs were taken down.

Actually Baristas added another stand last week bringing the total to 13.

Only 10 locations now, I hear that BH no longer has 2 stands, the director of development took back 2 of his stands because bh did not pay him his salary for 3 to 4 months. Also heard Baristas has complains at L&I for the state of washington. Do no look for PGEA to go public for a while, at least under PGEA. I think it is about to crumble
