(BPL) said Friday it has agreed to be acquired by IFM Investors in an all-cash deal with an enterprise value of $10.3 billion and equity value of $6.5 billion. IFM will pay $41.50 per Buckeye unit, equal to a 27.5% premium over Buckeye's closing unit price on May 9, and a 31.9% premium over its volume-weighted average unit price since Nov. 1, the last trading before Buckeye said it was weighing strategic options. Buckeye owns a network of integrated midstream assets, including 6,000 miles of pipeline with over 100 delivery locations and 115 liquid petroleum products terminals with aggregate tank capacity of over 118 million barrels. The company's network of marine terminals is located mostly in the East Coast and Gulf Coast regions and the Caribbean. Reuters: PDVSA nixes Buckeye Partners contract, leaves Bahamas oil terminal

Venezuela's state-run oil company PDVSA is moving millions of barrels of oil from a Bahamas oil storage facility after terminating a contract with U.S. owner Buckeye Partners (BPL -0.2%), Reuters reports.

BPL and PDVSA had tried to resolve payment delays and other problems that stalled some shipments, but PDVSA decided to shift its oil to the Statia terminal, operated by NuStar Energy (NS +1.1%), at the neighboring St. Eustatius island, according to the report.

PDVSA's contract with BPL reportedly included storage for up to 6M barrels of crude and fuel oil and was due to expire in December, but PDVSA decided to end the lease in advance.

Reuters says BPL had intermittently suspended PDVSA from moving its stored oil out of the Bahamas terminal - the Caribbean's largest - since last year over monthly payment delays.

Stifel Upgrades Buckeye Partners, Believes Management Capitalized On Favorable Recontracting Environment

In a report published Monday, analysts at Stifel upgraded Buckeye Partners, L.P. (NYSE: BPL) from Hold to Buy. The price target was set to $89. The company's quarterly performance beat the estimates and the consensus.

According to Stifel, "Performance on the quarter was driven by robust operations at the Global Marine Terminals segment where active capacity utilization increased to 93 percent from 85 percent the prior year. In addition, management noted that approximately 12 million barrels of capacity was recontracted in 1Q15 with an average rate increase of 20 percent."

However, the Pipelines & Terminals segment posted more or less flat operations, year-on-year. The company said that the lower commodity prices and narrow butane blending spread adversely affected the performance of this segment. An increase in pipeline throughput, driven by rising demand for refined products, which helped mitigate the drag in the Pipelines & Terminals segment.

"We view the offsetting impact from lower commodity prices (lower butane blending offset by higher pipeline volumes) as a strength of the partnership and an asset in a volatile commodity price environment," the analysts added.

Buckeye Partners was able to take better than expected advantage of the contango market, with higher recontracting rates and capacity utilization. Although the contango market is unlikely to remain as strong for the remainder of the year, the company is expected to sustain favorable recontracting storage rates.

HOUSTON, May 2, 2014 (GLOBE NEWSWIRE) -- Buckeye Partners, L.P. ("Buckeye") (BPL) today reported income from continuing operations for the first quarter of 2014 of $101.5 million compared to income from continuing operations for the first quarter of 2013 of $94.8 million.

Income from continuing operations attributable to Buckeye's unitholders was $0.87 per diluted unit for the first quarter of 2014 compared to $0.90 per diluted unit for the first quarter of 2013. The diluted weighted average of units outstanding in the first quarter of 2014 was 115.8 million compared to 103.6 million in the first quarter of 2013. The increase in units is primarily the result of our unit offering in October 2013.

Adjusted EBITDA (as defined below) from continuing operations for the first quarter of 2014 was $188.6 million compared to $160.2 million for the first quarter of 2013.

"The contribution from the terminals recently acquired from Hess Corporation as well as returns on growth capital investments drove strong financial results from our Pipelines & Terminals and Global Marine Terminals segments," said Clark C. Distributable cash flow (as defined below) from continuing operations for the first quarter of 2014 was $131.8 million compared to $125.6 million for the first quarter of 2013. Buckeye also reported distribution coverage of 1.03 times for the first quarter of 2014.



Cash Distribution. Buckeye also announced today that its general partner declared a cash distribution of $1.10 per limited partner unit ("LP Unit") for the quarter ended March 31, 2014. The distribution will be payable on May 19, 2014, to unitholders of record on May 12, 2014. This cash distribution represents an almost five percent increase over the $1.05 per LP Unit distribution declared for the quarter ended March 31, 2013. Buckeye has paid cash distributions in each quarter since its formation in 1986.

On Mar 14, we issued an updated research report on oil and gas pipeline operator Buckeye Partners, L.P. (BPL). Though the partnership is pretty active on the investment front, its business depends to a large extent on the level of activity at the refiners. Any decline in refining will hurt the partnership’s profitability.

Buckeye Partners’ earnings per unit in the fourth quarter 2013 missed the Zacks Consensus Estimate, but revenues beat the same. On a year-over-year basis, the partnership’s top and bottom lines climbed higher. The commencement of operation at the recently refurbished truck rack at the Perth Amboy terminal and sales from the BORCO facility contributed to the bottom-line growth in 2013.

Buckeye Partners, a Zacks Rank #3 (Hold) stock, closed the acquisition of 20 liquid petroleum products terminals with a total storage capacity of approximately 39 million barrels for $850 million from Hess Corporation in the fourth quarter. This acquisition increased Buckeye’s total liquid petroleum storage capacity by approximately 53% to over 110 million barrels and will contribute to earnings growth going forward.

Moreover, Buckeye Partners has reorganized its reporting segments to turn more competitive and realign its business in sync with long-term objectives.

However, increasing merger and acquisition activities among its customers leads to a shrinking of Buckeye Partners’ customer base. The merged entities often start utilizing their own pipeline or storage facilities for transportation or storage of fossil fuels. Since the operating cost of the partnership is fixed, a reduction in sales volume will impact margins.

Buckeye also needs to cope with weather variations that can have an adverse impact on demand. A significant portion of its service area is susceptible to severe weather conditions like hurricanes which damage marine infrastructure and disrupt operations. Service interruptions could impact the business of the partnership.

Buckeye Partners (BPL) owns and operates over 6,000 miles of pipeline, 91 liquid petroleum products terminals with aggregate storage capacity of over 70 million barrels at its domestic and international sites.

Buckeye also operates and maintains third-party pipelines for major oil and chemical companies, owns a high-performance natural gas storage facility with approximately 29 billion cubic feet of working gas capacity in Northern California.

HOUSTON, Oct. 16, 2012 (GLOBE NEWSWIRE) -- Buckeye Partners, L.P. (NYSE:BPL) ("Buckeye") announced today that Buckeye Pipe Line Company, L.P. ("Buckeye Pipeline") filed an application with the Federal Energy Regulatory Commission ("FERC") seeking authority to charge market-based rates for deliveries of refined petroleum products to the New York City-area market ("Application").

In the Application, Buckeye Pipeline seeks market-based rates from its three origin points in northeastern New Jersey to its five destinations on its Long Island System, including deliveries of jet fuel to the Newark, LaGuardia, and JFK airports. These jet fuel delivery rates were the subject of a complaint filed by Delta Air Lines, United/Continental Airlines, JetBlue Airways, and US Airways on September 20, 2012 in FERC Docket No. OR12-28. If the Application is granted by FERC, Buckeye Pipeline would be permitted prospectively to set its rates with respect to these origins and destinations in response to competitive forces. The airlines' September 20th complaint alleged that Buckeye Pipeline's jet fuel delivery rates to the New York City airports are unjust and unreasonable under the Interstate Commerce Act based on a cost over-recovery rationale. This issue would no longer be relevant with respect to Buckeye Pipeline's future rates upon the granting of the Application.
