ITEM 3.03: MATERIAL MODIFICATION TO RIGHTS OF SECURITY HOLDERS

On September 17, 2010, FINRA approved a reverse split of the Company's issued authorized common stock whereby every ten shares of the Company's issued and outstanding common stock before the reverse split will be consolidated into one common share, with effect on September 17, 2010 (the "Reverse Split"). The Reverse Split was approved by written consent to action of a majority of the outstanding shares of the Company's common stock on July 30, 2010, pursuant to section 78.390 of the Nevada Revised Statutes.

As a result of the Reverse Split, the Company's issued and outstanding common stock will be reduced from 9,750,000 shares to 975,000 shares.

Stockholders will be entitled to exchange their stock certificates for new certificates representing the shares of Common Stock after giving effect to the Reverse Split by submitting them to the Company's transfer agent, Holladay Stock Transfer Inc., of 2939 North 67th Place, Suite C, Scottsdale, AZ 85251, Telephone number: (480) 481-3940Upon receipt of an existing stock certificate, the Transfer Agent will issue to the stockholder a new certificate evidencing the consolidated shares. The new certificates will contain the same restrictive legend as the certificates for which they are exchanged. Stockholders will be responsible for the costs of exchanging their certificates.

No fractional common shares will be issued in connection with the Reverse Split. If a stockholder would otherwise receive a fractional common share as a result of the Reverse Split, the number of common shares to be received by the stockholder will be rounded up to the nearest whole number.

The Company's trading symbol on the NASD OTC Bulletin Board will remain the same and have a "D" appended to it for 20 business days: AMPCD. After 20 business days, the symbol will revert back to AMPC.

LP is just that, won't show on balance sheet.
Maybe interest in LP next quarter or later will show. When does the funding that is organized actually drop?

They have a couple million for production of Random Walk from LP's. Limited Partnerships are how films are funded. Never company cash.

According to the lastest filings, I don't see anything about "Radom Walk." Also, I don't see a couple million for it in their most recent balance sheet.

They also have other films to announce I'm told as funding for $10m+ film has been 100% commited.

I hope you're right. And I also hope the company is not telling you this without putting it in an 8k first.

Also new acquisition of existing film production co or JV with them will keep the cash flowing.

As I've said, the future looks bright.

This is what I have heard from the company:
"Since inception, we have earned no revenue, and have suffered
recurring losses and net cash outflows from operations. We expect to continue
to incur substantial losses to complete the development of our business.

This company doesn't appear to be "new." Have they ever generated any income? Looks like cash is running low. Maybe they'll ditch the movie making business and start mining for gold with the $28K cash they had on June 30th. Yes, the possiblities seem endless with that 28K. LOL!

But in all seriousness, maybe they'll pull out the power of the __ and produce a ____ ____ at some point in time.

We are a development stage, independent motion picture studio that plans to develop, produce, market, and distribute low-budget feature-length films to movie theaters and ancillary markets. OUR BUSINESS We are in the business of developing and producing commercially salable feature-length motion pictures that can be produced for up to $10 million, but which have enduring value in all media. We anticipate not only acquiring rights and producing motion pictures but also capitalizing on other marketing opportunities associated with these properties.
