Revocation of Registration Under Exchange Act

The Company has consented to the cancellation of the registration of the Company’s Entech Solar’s common stock under the Securities Exchange Act of 1934. The consent was delivered to the Securities and Exchange Commission in June 2014 and the Company has been informed that the deregistration could take a number of weeks or months to process. Once the common stock is deregistered, it will no longer be publicly traded and any transactions that may occur will not be reported on any public reporting system. Any holder of the Company’s securities seeking to effect a transfer of such securities must comply with applicable state and federal securities laws governing such transfers. While the Company continues to pursue the commercialization of its skylight product, holders of Entech’s stock will not be able to sell Entech’s common stock through brokers, and may be unable to locate any buyers willing to purchase the stock. If the Company is able to successfully commercialize its products, it is possible that the Company would seek to re-register the common stock under the Exchange Act, however, given the Company’s historic inability to commercialize its products and its lack of capital, it is unlikely that the common stock will again be publicly traded.
DUE TO A LACK OF FUNDS, AND THE LACK OF COMMERCIAL SUCCESS IN MARKETING ITS PRODUCTS, THERE CAN BE NO ASSURANCE THAT ENTECH WILL CONTINUE AS A GOING CONCERN. INVESTORS HOLDING ENTECH SECURITIES MAY SUFFER A TOTAL LOSS ON THEIR INVESTMENT, DUE TO THE COMPANY’S FAILURE TO ACHIEVE ANY DEGREE OF COMMERCIAL SUCCESS.

Current Activity

The Company continues to conduct limited R&D work related to its skylight products.
As of May 1, 2014, the Company had three paid employees.
Due to its limited resources, the Company undertakes no duty to update this website to reflect future developments in its business.

Financing Activities

The Quercus Trust has continued to provide the Company with limited financing to allow the Company to seek to exploit its products and/or technology. The Company and Quercus Trust recently entered into an agreement which increased the amount the Company is authorized to borrow under a secured promissory note in favor of Quercus Trust. The agreement allows for but does not require Quercus Trust to loan additional funds to the Company.

Been holding the 200ma real nice here. Hard to tell what could be next here as some indicators are starting to turn down. STO still showing good strength though. If the 200ma does fail look for .006 again as low support, IMO. Break upward should see .02-.025 I think.

Recent Actions to Reduce Cash Flow

Reduced staff to 3 paid employees. They are Bob Walters, Don Spears and Curtis Stone.
Paid off all severance for terminated employees.
Negotiated termination of long term lease at a cost of about $70,000, saving Company about $3 million in lease expenses
over the remaining life of the lease.
Moved to new address with total annual rent of about $40,000 and rented on a year-to-year basis.

Recent Financial Activities

Settled suit with Rainbow Associates for $30,000 plus 30 million common shares.
Incurred secured debt to Dr. James Doti of $100,000.
Incurred secured debt to Quercus Trust of about $1,500,000. Part of this was a conversion of unsecured debt to secured debt in return for Quercus extending maturity on its unsecured notes.
In return for Quercus extending the maturity by two years on its secured notes, and for agreeing to forgive the interest and principal on these notes when due, the Company has repriced exercise price on warrants to non-profits for veterans and military families to 1 cent per share if the company hasn't been forced into bankruptcy by that time.
Authorized sale of up to $500,000 more in secured debt to Quercus prior to 11/26/2013.

I have owned this stock for years. I never received any notice that all of the machinery required to produce the
product had been auctioned off in 2/12. Wouldn't that be something the stockholders might like to know? I'm not sure why this stock is still trading. I'm assuming that it's intellectual property. What else is left? Perhaps the non profit is using the stock as a tax loss. I know I will be. Another case of good product, bad management.

If you go to the Entech solar website you will see that available
SEC filings stop in 2011. Logon to hgpauctionflex.com/searchauctions.ap?co=53936&weid=21207 (this will take you to Heritage Global Partners asset advisory and auction services) and you will see that they liquidated 129 lots of commercial/industrial
equipment (the entire plant) in Feb. 2012. How can they be manufacturing anything without this equipment?
