Minh Le post 3 days ago about looking forward to SEC approval of the merger shows we are close to the completion of the Merger. Obviously he 's getting excited about the close as it gets close. 22 x Venture is listed as Pending Inactive for now according to this link to Virginia Secretary of State web site business entity search just put in 22 x Venture . 22 x Venture has 2 companies listed on the web site under porfolios . IsMedis and Gramercy District .Thats it . The Derma Sound RX is IsMedia if you click on it it takes you to their web site . This company was started march 6 , 2022 last entry April 7 2022 .The company it looks to have been started to work with Core Optics out gates and what is now very soon to be The Coretec Group . So the acquisitions he is looking forward to are i think Coretec related as you dont start a giga factory without funding and possible acquisitions and possibly some good dilution of the stock and a possible reverse split someday .

The merger date agreement was March 1st ..they released the 8K March 6 . Sll they have left is a few due diligence items very clearly state by Matt to get to close . .We are getting close to close on this deal im certainly not expecting july for this to close if fact they just started the process

Section L says the financials part is before Section M it HAS to be COMPLETE to go to SEC M due Diligence Sec L is DONE .

shorter period, if applicable), of the Company in a form substantially ready to be audited by a duly registered PCAOB audit firm and acceptable to Parent
and any additional interim financial statements as required by the rules and regulations of the Securities and Exchange Commission to complete the
disclosure required in connection with the acquisition, in order to maintain the post-Closing combined Company’s SEC reporting obligations.
SEC M cannot take place before the financials are delivered which obviously they are or they wouldnt go to sec M > (m) Due Diligence. The completion of due diligence satisfactory to Parent, including, but not limited to, the examination of all books and
records of the Company and the Operating Subsidiary, any vendor agreements, any marketing agreements, any financial projections, business or marketing
plans, any letters of intent, memoranda of understanding, or potential agreement with marketing or other partners, any licensing agreements, grant

The phone number on the Core Optics web site 571 area code is a Virginia phone number for inquiries ... Is it a company number they will have for their office in Virginia after the merger closes ?? Where will the CCM side headquarters be ?? Will it be at the Michigan innovation headquarters where the battery program is or will the CCM side of the company be located somewhere else in Michigan or Virginia ?? CRTG is a Oklahoma corp but is in Michigan .Core Optics is a Virginia Limited Liability so will they establish the US base in Virginia or with the current office in Michigan or close to it in Michigan . Good questions any thoughts ..
I believe any decision on a reverse split would come later after they see how the new company stock price reacts . I think they would give it a while. Lets say we trade up to 75 cents , of coarse we want multiple of dollars , but lets say 75 cents and it settled in around there as an example . An 8/1 RS puts it at 6 Bucs 2.00 above the 4 dollar mark they would need to trade at as one of the things they have to do to qualify for Nasdaq . Lower level Nasdaq I think is 3 Bucs. If we settled in higher the split would be less . Keeping in mind the company is talking about building a battery giga plant which might involve some dilution in some way lets say they acquire a company they need we may see more dilution before a RS. I say they will wait sometime to develop the new company and and also see how it trades with news and developments within the next year. Remembering they are locked up for a year they can't trade themselves on the market for a year I see this next 6 months as a time to develop the company and grow to the point they feel they are ready for the bigger exchanges . Maybe then they have the data they need from the company financially and they have good developments from the silicon anode battery and established new partnerships etc etc then they can better make a decision on a RS .

Pegs , A lot of these big trades going through look to be at a set price on a pre arranged deal to buy large amounts of stock in one trade . There was a trade a while back that seemed to be like a 3 million share trade go through and the price never changed . If we start having really good news coming out of the new company I think the regular trading community will be buying a lot of stock as the demand goes up for CRTG stock as we will be a company with a new line of products and revenue . Traders will be buying in big news situations possibly more at the ask . Armistice can according to their trading , distribution of their shares agreement can make pre arranged sales of stock at a set price and I think a lot of the trading volume has been from those kinds of trades. We don't see big million share orders at the ask they just go through behind the scenes so to speak . There doest seem to be much demand for the stock YET from the regular type traders as we come close to the close of this merger so the stock hasn't had that big demand for the stock yet like it needs to possibly move higher. I time after the close of the merger we might see the stock move higher as the company starts sharing their financials and in depth company operations and puts out news releases . If the company even has 5 to 10 million in revenue each quarter with good profit margins lots of cash etc CRTG you would think is worth much more than 2 cents.
Core Optics move to the US to include the United States in their business and to now move their focus from smartphones to the auto industry ( now 78 % of business from the auto industry ) is obviously a move to increase the growth of this business of this line of CCM products they purchased from isMedia . They are involved now in China and South Korea and a few other countries they mentioned . I see the potential for a lot of growth in this move . Cant wait to hear more from the new leadership on their plans as soon as this merger closes . If anyone wants to go over the Private Placement details again with Armistice that was closed by HC Wainwright March 5 2021 : to save you some time look at pages 1,2,3 ,17,25, and 39 thru 43 to avoid having to scroll through the entire document . Page 43 lists all the ways the stock can be sold . HC Wainwright members recieved a lot of shares as well . I would like to know if there is any possibility the new company can redo this deal for 82 million warrants exercisable at 8 cents. I remember when 3Dicon reworked a deal with one of their toxic investors and paid them off with about 300 thousand cash but they still got some shares just befores the merger with Coretec to clean up thier financial situation .

WE do have some head winds from Armistice now but that will go away in time then Armistice after 8 cents with those 82 million shares . I need to look that agreement up to see all the exact restrictions on those warrants , but eventualy those will be gone . But now CRTG does have some big name partners but we will learn soon as to the extent of those and new partner agreements Core Optics has and what revenue from those . Those big name partner agreements and growing relationships will all be positives. We will also learn soon what new revenue projections will be and we will learn about everything they couldnt tell us until close that may have a big impact on CRTG. Also some socks just become popular to buy because of the sectors they are in and make big moves up in stock price . We are in next generation technologies with products on the market so that is a positive for the new company.
I always am thinking along the lines of an exit strategy in different situations that may come up . We've gone from 3dicon to Coretec to The Coretec Group to now the new company under the same name with the roadmap and focus constantly changing and again that's happened with the merger to this company . So once again I lay out different possibilities in my mind . My brothers friend sold his stock on the move up to 50 cents a while back and is back in at 3 cents or so . He acted quickly and it paid off. Penny stocks can be like that . That probably won't happen again as we had nothing going on then no revenue it looked liked someone pumped it and dumped quickly. So in rolling through all this new stuff in my mind I came across the thoughts of what if this or that . I just wondered if a penny stock that might have huge volume on just one given day you could use a market order if you say wanted to sell some stock that was up but just below a dollar... would the ordered be allowed to go through on a market order just because it was less a dollar . As we hear from the new company personal we will all get a new perspective going forward about what we own simply because this is indeed a new company that quickly overtook us. Now its time to really wrap our heads around just who we are. I had a broker years ago with UBS who said it was always easy for investors to decide when to enter a stock but choosing when to exit was hard for many people . Fear of the what ifs keep people from taking any action on the buy or sell side . Understanding what the company potentially can do and what it may not be able to do what range can this companies stock potentially trade at... what will it give , what is it worth. I have lots of new questions now but negative I'm not , I like suddenly being part on a company with revenue and products on the market . Now its time to really learn who the company is and after close of the merger we should get a better feel of who the new team is and what they are capable of doing.
Can you sell a stock under a dollar using a market order or do you have to use a limit order ? ...over a dollar it seems a market order is OK ..Its been a while since i sold a penny stock and if we traded up much much higher i may or may not sell but just curious about this the answer to this question
Big dump as you stated more than likely Arimstice . So far just one big dump . Those 14 million pre funded shares they picked up in February might be close to being sold but do they have more pre funded warrants ?? They are probably trying o get rid of those and as the stock price moves up they can start getting those 82 million warrants at .08 cents .With the new company taking over new products new CEO and a Revenue generating company we will see if the stock value moves up as im sure they will be putting out a lot of info on the new company . Hoping we close this week or early next week and get this show on the road so they can start putting out press releases and info on the new company

It sounded like Core Optics had re-focused the company to be more profitable lfor instance Dr Kim said they shifted to the auto industry from smartphones because there is more revenue there. He added they had a , " our Next money maker " statement in there not sure which tech it was but i think they will grow the company CCM product line from where it was with isMedia .
I try to look at it as if Core Optics was going public for the first time and they showed their first quarterly revenue was going to 10 to 15 million dollars as a publically trsded compnay and their profit margins as Matt Kappers said are , " good profit margins " then where should the stock be trsding ?? One company where Matt Kappers sits on the board called Amplitech made 20 million in 2022 for the whole year and they trade at 1.90 last i looked .Though it is on the Nasdaq So if CRTG will now make 10 plus million in one quarter we should be much much higher than 2 cents.
Im not seeing a R/S anytime earlier on . Lets take a practicle look at this . The Coretec Group as a result of this merger could has revenue now of 10 to 15 million dollars a quarter or 40 to 60 million anually with this new product line and merger . The isMedia company , a public company ,from whom this product line was purchased made something like 40 to 58 million anually ( excluding the pandemic year which was lower ) with the same product line which from what i here from the new company members might be better revenue now or at the least better profit margins now . So i see the potential of the stock trading at more fair levels with that kind of revenue . isMedia trade from 5 bucs at the 2017 IPO to over 30 bucs but mainly from 2 to 18 dollars over a 5 year period until it was taken off the Korean exchange . The Coretec Group is trading as we know on the OTC market and not a big exchange here in the US or as isMedia was on the Korean exchange but even with a limited amount of exposure to a broader investment community as is the case when trading on the OTC as investors tend to stay way from penny OTC stocks , but even though we trade on the OTC market i believe the revenue numbers and partnerships and perhaps new purchase orders and newer partnership announcements could push this stock price much much higher than 2 cents . So i believe the company will wait to see how well we trade on the OTC market and see where we go stock price wise which i think in time could be much higher as history has showed us i can do and should do now . After the close of the merger the company should be doing a lot of awareness marketing and announcements and letting the investment community know about the new company and just what they have in every area of business
