IPO INITIAL CLOSING SUCCESSFULLY COMPLETED
December 29, 2006--Zion successfully closed the first stage of its IPO. Zion's Registration Statement (declared effective by the Securities and Exchange Commission on September 26, 2006) provides that an initial closing shall be held following the receipt of subscriptions for 350,000 shares. On December 29,2006 Zion completed its initial closing of 436,907 shares at $7.00 per share for a total of $3,058,349.

COMPANY INFORMATION
In 1985, during a visit to Israel, John M. Brown (our founder and CEO) became inspired and dedicated to finding oil and gas in Israel, and he started the process that led to the Joseph Project. During the next fourteen years he made several trips each year to Israel, hired oil and gas consultants in Israel and Texas, met with Israeli government officials, made direct investments with local exploration companies, and assisted Israeli exploration companies in raising money for oil and gas exploration in Israel. This activity led Mr. Brown, together with others who had assisted him during those years, to form Zion Oil and Gas, Inc. in April 2000 in order to receive the award of a small onshore petroleum license from the Israeli government. Upon its formation, Mr. Brown and the others contributed to Zion all of the technical, economic, legal and financial data they had accumulated over the years relating to oil and gas exploration in Israel. We were reincorporated in Delaware on July 9, 2003.

Our certificate of incorporation provides for the authorization of 20,000,000 shares of common stock, par value $.01 per share. As of March 1, 2006, our issued and outstanding capital securities consist of 7,783,788 shares of common stock, and options and warrants to acquire 845,325 shares of common stock. In September 2004, Mr. Render was appointed a director of Zion Oil and served for almost five years until June 16, 2009, the date of Zion's 2009 Annual Meeting of Stockholders whereupon he did not stand for re-election.

From 2003 to the present Mr. Render has been a private investor and consultant. Mr. Render served from 1994 to 2002 as Chairman and CEO of the Green Thumb Companies and Milburn Peat, manufacturers and distributors of peat moss, soils and mulches for the lawn and garden industries. Prior to that, from 1985 to 1992, he was a director of and consultant to Hyponex Corporation (NASDAQ) and thereafter, from 1992 to 1994, he was a consultant to the Scotts' Corporation (NYSE), the controlling shareholder of Hyponex. Between 1978 and 1985, Mr. Render served as Chairman, President and Chief Executive Officer of Hyponex Corporation (NASDAQ) previously known as Old Fort Industries. From 1964 until its acquisition by Old Fort Industries in 1969, Mr. Render served as President of Anderson Peat Company and, from 1969 to 1978, he served as Executive Vice President of Old Fort Industries. From 1952 to 1963, Mr. Render served as Vice President of Sales and Marketing for Sno-Bol Company. In 1957 he founded Render Associates, a national sales company specializing in lawn and garden products which later merged into Anderson Peat Company. In 1962-1963 Mr. Render was President of the Christian Businessmen's Club in Pontiac, Michigan and in 1964-1965, he served as Chairman of the Industrial Group of the United Fund in Pontiac. In 1967-1968, Mr. Render was a member of the Executive Committee of the American Society of Testing and Materials and in 1969-1970, he served as President of the U.S. Peat Producers Association

(Nasdaq:ZN) announced today that Mr. Victor Carrillo, a member of the Company's Board of Directors, has been appointed Executive Vice President of the Company. Mr. Carrillo will continue to serve on Zion's Board of Directors; however, in his new position, he will be working on a full time basis on the Company's oil and gas exploration activities.
Mr. Carrillo joined Zion's Board of Directors in September 2010. He is a petroleum geologist and geophysicist, attorney and former county judge. He has over 20 years of experience in the oil and gas industry, specifically in exploration and production and, until December 2010, he was Chairman of the Texas Railroad Commission (the agency that oversees the oil and gas, pipeline and surface mining industries in Texas).
Mr. Carrillo earned his law degree from the University of Houston Law Center, a Master of Science degree in geology (with an emphasis in geophysics) from Baylor University, and a Bachelor of Science degree in geology from Hardin-Simmons University. Mr. Carrillo also received an honorary doctorate degree from Hardin-Simmons University in May 2006.

Carrillo has been appointed as President and Chief Operating Officer of the Company, replacing Mr. William L. Ottaviani who, by mutual agreement with the Company, left to pursue other opportunities on October 14, 2011. Mr. Ottaviani resigned from the Company's Board of Directors, as provided for in his employment agreement with the Company.

Mr. Carrillo, age 46, has been serving as the Company's Executive Vice President since January 2011 and as a director since September 2010. Mr. Carrillo will continue to serve on the Company's Board of Directors.

Mr. Carrillo is a petroleum geologist and geophysicist, attorney, former city councilman, former county judge and former statewide elected official in Texas. For almost eight years, ending in January 2011, Mr. Carrillo served as a commissioner of the Railroad Commission of Texas (the State of Texas Board with regulatory jurisdiction over oil and gas exploration and production) having served as chairman of the three-member statewide elected board twice. June 04, '12 Merger News Zion to form partnership with Lapidoth Zion Oil Executes Memorandum of Understanding Regarding Drilling Partnership PrintAlert Zion Oil & Gas (MM) (NASDAQ:ZN) Intraday Stock Chart Today : Monday 4 June 2012 Zion Oil & Gas, Inc. ("Zion Oil") (Nasdaq:ZN) announced today that the Company recently signed a Memorandum of Understanding (MoU) with Lapidoth Israel Oil Prospectors Corp. Ltd. ("Lapidoth"), a forerunner of onshore oil prospecting in Israel. Lapidoth was incorporated in 1959 and its securities are traded on the Tel Aviv Stock Exchange. The MoU, effective June 4, 2012, outlines plans to establish a company, tentatively named "Zion-Lapidoth Drilling", which is to locate and purchase a drilling rig suitable for drilling wells to a depth of up to 25,000 feet. The MoU contemplates that Zion-Lapidoth Drilling will be 50% owned by Zion Oil and 50% by Lapidoth. The anticipated cost of the drilling rig is up to US$15 million and each party will share equally in the financing of Zion-Lapidoth Drilling. The MoU provides that Zion Oil will retain Zion-Lapidoth Drilling for its drilling program and when not required by Zion Oil, Zion-Lapidoth Drilling may lease the drilling rig to third party oil and gas drilling entities. The MoU is subject to certain standard conditions, including the execution of definitive purchase agreements, obtaining required approvals and the completion of acceptable due diligence by the parties. Additionally, the implementation of the MoU is subject to Zion raising at least US$10 million within the next 12 months. The MoU provides that for the next 12 months Lapidoth will have a right of first refusal to drill wells, as needed, in accordance with Zion Oil's work program.
