Jehu Hand Obtains Judgment against VitaminSpice and Ed Bukstel for Defamation Arising Out of April 25, 2012 Press Release; Securities Lawsuit Against Hand Dismissed


DANA POINT, Calif., Aug. 29, 2013 /PRNewswire/ -- Securities lawyer Jehu Hand announced that after trial held in Orange County California Superior Court, he has obtained a judgment in case no. 30-2012-00567141 against VitaminSpice (VTMS.PK) and its Chief Executive Officer Ed Bukstel. The Complaint alleged that defendants VitaminSpice and Ed Bukstel libeled Jehu Hand in the press release issued by them on April 25, 2012. That widely-disseminated press release alleged that motions filed in the Federal Bankruptcy Court for the Eastern District of Pennsylvania included documents that allegedly demonstrated that Jehu Hand and others perpetrated forgeries. The Complaint further alleges that these and other statements in VitaminSpice's press release were untrue and defamatory and, furthermore, that the statements regarding purported forgeries were expressly contrary to the findings of the Bankruptcy Court.
No evidence was presented by the defendants at trial to support any allegation of forgery nor to support their contention that the defendants made the defamatory statements with good faith belief in their truthfulness. The Court found that the Complaint was supported by the evidence and awarded the full amount sought of $74,000 against each of VitaminSpice and Ed Bukstel.
This judgment follows the dismissal of VitaminSpice and Bukstel's Third Party Complaint against Mr. Hand which was pending in the Eastern District of Pennsylvania, Advanced Multilevel Concept, Inc. v VitaminSpice, et al., Case No. 11-CV-3718. That case was dismissed with prejudice.
Mr. Hand stated, "I am pleased to have finally vindicated myself against the baseless defamation by Mr. Bukstel and VitaminSpice. I believe that the defamation and the Third Party Complaint, which was bereft of any factual support, were merely retaliation for myself and others providing information to the Securities and Exchange Commission, detailing a 'pump and dump' in VitaminSpice's stock engaged in by the company. This information resulted in enforcement action against VitaminSpice as set forth in SEC Release 34-68948."

Bankruptcy court has ordered VTMS into bankruptcy, as of I believe April 9. Bukstel has not filed any required schedules with the court. The company's lawyer quit. The US trustee has entered an appearance and has requested that VTMS show cause why the case should not be converted into Chapter 7 (liquidation).
In the federal case, there is a motion by Plaintiffs for summary judgment on the stop transfers, The hearing is I believe on the 26th (Friday).

The situation is way worse than I thought for shareholders.

Hard to know.

1.Can a majority of the common shares be assembled. Any major shareholders or shareholder groups exist?

2.Are there preferred shares that may have super majority voting privileges approved to be issued, if so that makes 1.become a mute point.

3. Can you the capital needed for to execute the business plan be raised under terms which allow the present common shareholders to participate if succesful.

4. More importantly now is what happens in Bankruptcy court where the common shareholders are most likely wiped out. Can an agreement be made with the creditors which allows the common shares to survive. The company doesn't appear to have any assets so control of the corporate entity is the only thing to fight over.

5. Does the shareholder group have or can retain the qualified staff?

6. Can other litigation be solved?

I don't have enough information to know. If interested first step is the majority of common to have a controlling group then you have to deal with the creditors.

I doubt vitamins in spices is patentable so you may be better off trying to start the business from scratch IMHO.

If you can put together a majority of shares and their aren't preferred shares you can just call for a shareholder vote, take over and throw out management. Settle all lawsuits and raise the capital to execute the business plan.

Second, Dan, I have to admit: all those entries and the recent developments would scare even the most hearty seasoned of players.

At the heart of this is a very interesting situation and a lotto ticket for a payout.

Do you think VS will go forward without any representation?
Is there a way for shareholders to band together so to speak and have some impact. I worked for an activist and have some experience in this area.

Perhaps, this is all a giant wild goose chase. Shame if so.

I have trouble believing Ed gave out 60million shares. thats about 40 percent of the company.

The price of 40 cents was not evidence of anything nor was the trading price of 10 cents.

I would argue that the manipulative activities prevented ED and VS holders from obtaining the benefits of being a public vehicle. ie access to capital markets, attracting new business and talent due to poor stock price performance etc.

the point I was making that since the Hand shareholders were locked up at July 12, 2010, any price decline after that cannot be their fault. The price was $.10 per share at that time. It later went up to $.41 per share, based on a promotion Ed ran. Then all the people who got consulting shares sold it down to a penny. There were about 60 million of those shares.
The price running up to $.41 reset the clock and wiped out any damages Ed or other shareholders might have. Also, since the company never attained any real sales, and has no assets, Hand would argue that the stock really is worth only a penny or even less. In other words, the price decline was not because people sold.It was because the company was not worth very much.

The big flaw in VitaminSpice's allegations is that there are no damages. They allege that as a result of Hand's misdeeds the stock went down to a penny. They omit to mention that when Hand left and all the "Hand" shareholders were locked up, the stock was $.10 but then went up to $.41. There were about 60 million shares Ed issued for services to various stock promoters, and these were freed up by Ed and sold in the market to bring it down to a penny.

I don't think I agree with what you wrote. Hand Shareholders accessed shares that they were not entitled to in effect. If they traded the stock for the purposes of making a pump n dump then that hurts the credibility of VS so that could be considered damaging to the marketplace value of the company right?

Please see the case above, Defendants have pled sufficient facts to state claims of fraud and negligent
misrepresentation by Hand during the negotiation and consummation of reverse merger
agreement. Defendants allege that Hand failed to disclose the truth about the Qualsec investors’
identities. They claim he invented fake identities and addresses for directors in those companies,
issued a fake Corporate Resolution of the Qualsec Board, and withheld information about his
true control over those companies from Bukstel and VitaminSpice. (Amended Complaint ¶¶ 19,
20). Bukstel and VitaminSpice relied on Hand’s misrepresentations in consummating the reverse
merger on September 28, 2009, and both parties suffered losses (the company, to its share price
and market value, and Bukstel, to his holdings in VitaminSpice) when Hand used his position of
control over 17% of VitaminSpice’s shares to consummate a pump and dump scheme. These are
sufficient allegations of common law fraud and negligent misrepresentation.

We are all here in search of the truth, which is hard to do alone. Just trying to do my part.
The bankruptcy judge reversed herself and cancelled her order dismissing the bankruptcy, on January 15, 2013. It is document 104 in the case docket. To get a copy you have to make an account on PACER but I think opinions are free to retrieve.

The attorney filed his motion to withdraw on January 25.Then refiled it again on January 28, apparently the first one was not done correctly.
He filed an affidavit that he was owed money by VitaminSpice and gave that as the reason for withdrawal. The attorney is Hillard Sterling, an intellectual property lawyer from Chicago.
The motion to withdraw was granted on January 28, in document 116 and VitaminSpice was granted until March 18 to answer the petition. "If VitaminSpice fails to file an answer by that date, the Court may enter appropriate relief against VitaminSpice." That means they will be in bankruptcy and all that entails unless an answer is filed. If an answer is filed, then a hearing will be scheduled.
Also on the docket it notes that the landlord has filed a claim with the court. I think the company was evicted from its office.
Now, as to the question as to Hand "defrauding" Stalt:
The shareholders sued Stalt in Northern California for the stop transfer. This was also in Federal court. Stalt settled out of court. Stalt never alleged in any of its papers that there was anything wrong with what Hand or the shareholders did. That would have been a defense. The first thing the SEC does in these cases is pull the transfer agent records. They would know if something was wrong. The SEC just went after an attorney who issued false opinions-check out the litigation page on the SEC's website. Nothing against Hand.

Now, Bukstel claims that Hand submitted false documents to free up shares. He does this by leaving out part of Rule 144 which is the basis for freeing up the shares, and not the shares held by other people. I will try to write another post later to explain.

I definately appreciate the exchange on here, since it really will have no bearing on the final outcome, it is "fun" to speculate on the particulars of this legal drama as it unfolds.

1) My basis for making any statements about this is simply my opinion based on readily available information.

2) I did not know that the bankruptcy case has resumed. Assuming you are correct, Where did you find that information?

3) I was unaware that the legal team for vitamin spice has withdrawn from the case. Assuming this is true, Where can we see this? How do you know?

4) The case here swings in multiple directions, my question is: Did Hand really defraud Stalt and in turn investors by making restricted shares into free trading shares through intetionally making false filings . If this is the case then we need to find out the basis for that, to me that would represent a sanctionable act. An act of fraud, knowingly filing false documentation to a transfer agent by an officer of the court is really enough for me to sanction Hand or anyone who does that kind of activity.

5) I do think something is wrong with Ed Bukstel. I don't know if he is a victim in this menagerie. He may very well be a sick person or he may be a genius, at any rate, I believe in his idea and he is entitled to a fair start in the marketplace especially given all the work/resoueces expended.

So Dan or anyother interested VitaSpice groupies, feel free to add to this board, but please try to cite information.

I can identify myself as the beneficial holder of two million plus shares of VTMS. Other than that, I have never met ED Bukstel nor do I know much about him at all other than he has been rude to me via telephone on several occasions.

I agree. I don't have enough information to determine the truth here but Ed seems to be the main problem.

They only real solution is to clean house and let the company start anew without any of these guys involved.

The business plan may have merit but implementation was poor at best.

You have laid out some pretty serious accusations against someone including criminal violations. Do you have any basis for alleging for example losing a law license and criminal violations?
In the war of words between the two parties in which "there is no love loss" [sic] we have one party, Hand, saying that

Bukstel was mad that Hand uncovered his misdeeds and so Bukstel locked up the shares he thought Hand controlled, and then Bukstel controlled the float and ran a pump and dump scheme, running the stock up to $.41, by employing false press releases,

vs.

Bukstel claiming that he uncovered a pump and dump scheme by Hand, and as a result took appropriate action. You said in an earlier post that when you called Bukstel he threatened to report you to every 3 letter agency, so, he must have reported Hand to the SEC.

So far, the SEC has believed Hand's version of events and imposed the stop trade. The SEC started an investigation over a year ago against VitaminSpice and Bukstel. Yet no investigation of Hand is apparently going on. Are you saying that the SEC is in Hand's pocket?

yes the judge let VitaminSpice's counterclaim go through, and denied the summary judgment motion. All that means is that the judge thought the counterclaim, IF THE FACTS STATED THEREIN WERE TRUE, has a chance, yes a chance of succeeding, and VitaminSpice should have the chance to do so. If you read the counterclaim yourself, you will see that proving them is going to be extremely difficult and document intensive. And expensive in the several hundreds of thousands range. Where is Ed going to get the money to carry this out?

Also I would like to point out that the bankruptcy court reversed itself and VitaminSpice is again in bankruptcy, and will stay there unless they make a good argument by March 18, (next Monday) when their answer is due. the argument that VitaminSpice has to make, to exit bankruptcy, is to to show that it is, in fact, paying its debts as they come due. Since VitaminSpice has not had any cash for almost two years, how are they going to show that they have been timely paying its debts? Their "high powered" legal team resigned from the bankruptcy case for nonpayment and so far Ed has not hired new legal counsel. It frankly looks like a lost cause. So, it appears that the bankruptcy attempt has been "successful."

One thing I do not understand when you talk about the "real" shareholders" of VitaminSpice who Ed claims to represent: the ones who got hundreds of millions of shares for "consulting fees" and "services" on Ed's watch, versus the shareholders whom Ed blocked who put over a half million dollars of cash money in the company. Which do you think are "real" shareholders?
