Yeah...I realized it doesn't matter at this stage. I had another ticker that waited til late afternoon to file their 10-k. The OTC link showed it as "dark or defunct"...lol..... earlier today. I was like jesus man. I imagine there are a lot of tickers that went to expert today.
They still have to go through the exact same process as before(current uploads/ filings, form 211)........but it is hilarious given that they amended so much via Colorado and just became current there on Thursday. I mean five filings for Colorado with the first filed end of Feb ...and the past four ..last week.
So as of today, the Corporation is current in Colorado...with control of Company belonging to Dimaggio and Unger. And have one known date being April 30th....or earlier:
Both Unger and DiMaggio shares get canceled and returned to treasury after consummation.
Who says he does currently? If so..it's worthless. They never merged the entities...and the Company is now expert market and defaulted in Nevada and has been for quite some time.
The last known player was ILUS last Month. They just didn't tell you the name...and quite frankly, they are also shady and full of it in general.
So no...absolutely no relevance. The only thing relevant is this Company becoming current, which they have in Colorado as of today...and then financial uploads to OTC or hopefully a Form 10/S-1 and continue.
I am not expecting anything except for this becoming current...and nothing genuine until a SEC filing. If Milanion becomes an authentic target and the rest applies..then yay.
What do you mean not relevant? You are expecting Milanion to merge into the ticker, right? Davinder still owns MSGP, it was only that he didn’t roll the personally owned business assets into the ticker. 2023 annual filings are due next week so hopefully there are some updates.
Those other two Companies are not relevant to this ticker or the current situation. Medsmart knew ahead of time that it was not going to provide a two year audit due to missing files. That Company is now defunct and Milanion hasn't filed anything with Nevada SoS since September of 2022..and is now in default in that jurisdiction.
It is literally the same target company and they already reincorporated in Nevada as Milanion. It may be totally dead now but how is that not relevant?
I understand but there are different types of expert. Theirs is very basic and I believe only requires just submission of up to date financials and a letter which is probably only a few $k to get done to get fully pink current. It is the cleanest shell I have seen so I have hopes it will do something one day. They said they needed 2020 and 2021 fins. They now can have entirely clean fins for 2022 and 2023 with zero business activity. They could do something like I L U S and spread out amongst several tickers. I will keep my eye out for any updates.
It's not doing anything, so just keep checking in @ Colorado SoS. That the first stop :) The MSGP thing doesn't apply here...and that one is inaudible and dead(expert market).
I wonder if I should wait until the shares get sorted out? No liquidity and unclear what happens to outstanding share price. Filings are due soon. M S G P will also be at the 2 year mark so they can get audited financials off of two years of no operations and might wake back up if that was the only blocker.
Wow! Just found your posts, I chased Milanion via MSGP and ILUS before for 3 years. Lost $30k on MSGP and could never get them to respond via contact. I am very surprised to see them in this new ticker. As you mentioned the audited financials were likely the problem, but that was also a while ago. It would be nice to know how soon MSGP can acquire audited financials as the time window shifts forward. Milanion is actually 3/4 entities. Upon the consummation of the transactions contemplated pursuant to an executed and delivered share exchange agreement by and between the Corporation, Ross Dimaggio, Milanion Technologies DMCC, a free zone company registered in Dubai, United Arab Emirates (“Milanion”), and Davinder Dogra, as the sole shareholder of Milanion (the “Shareholder”), each share of Series C Stock shall automatically fully convert, without any further action by the holder into one share of the Corporation’s Common Stock and the Series C that is converted will be cancelled and not be available for reissuance

Whether that acquisition occurs will depend upon whether the Company is able to obtain audited financial statements for the years ended December 31, 2020 and 2021. While that will await the efforts and judgment of the Company’s independent auditors, the Company believes it can be done. Because of certain matters including the Company’s 2019 revenues and the absence of records, an audit for 2019 is not practicable. Assuming the audited financial statements are issued, the Company intends to acquire the related party entity for an unknown number and type of securities; however, any such acquisition will be very dilutive to existing shareholders since the Company is a shell with no operations and the affiliated entity owns an active business with revenues and operations.
Whether that acquisition occurs will depend upon whether the Company is able to obtain audited financial statements for the years ended December 31, 2020 and 2021. So..it's that time of year when I look to throw a rough $500 into an issuer via the OTC link. I have never seen so many unsolicited quotes ever...and so many dead shells. Absolutely no market. In fact, the OTC link is unrecognizable these days ... lol.
Well ..he gets it automatically listed on the NYSE Capital market and gets paid $500k(equity investment into Notes). I knew they were not going to straight up IPO it'..lol. It also pretty much confirms "to me" that RIBS was the target acquirer before such. They reached out apparently. He can sell the wine in his neues...etc...so I get it. VINE was in trouble.
Well over $100 million invested. Just can not fathom why he wouldn't be putting such in here. It wouldn't cost shite' compared to a straight up IPO. I mean...it's an ongoing...... fn' pre-IPO raise. As stated...lol.
