Thanks for the info. What is puzzling is this guy that bought the 'shell' is supposedly a shell master. i wonder why he wouldn't read the SEC filing before taking over the shell?

This shell wizard signed on to responsibility of million$ in judgements and liabilities- sounds more like a shell rookie.

That's right. A shell only has assets.
A shell has little or no liabilities. RTWW's liabilities must be settled through payment, forgiveness or bankruptcy.

A b 123 doesn't mention liabilities or judgements.

I know companies can be sold minus the liabilities and judgements, but it's true I don't know about these trading vehicles.

It doesn't work that way.

"Rule 144(i)(1) defines a shell company as a company± that is now or at any time previously has been an issuer, that has:

(A) No or nominal operations; and
(B) Either:
(1) No or nominal assets;
(2) Assets consisting solely of cash and cash equivalents; or
(3) Assets consisting of any amount of cash and cash equivalents and nominal other assets."

The assets would have had to have been bought for cash (or some other liquid asset) and the liabilities settled with all creditors for RTWW to become a shell company.

18 million in liabilities based on last SEC 10Q filing in 2008.
20 million legal judgment 2012

IMO unless there is $38 million in some one's pocket there will be no reverse merger.

i do appreciate you pointing out that there have been no RTWW filings for awhile.

avoiding being stuck in a stock that gets delisted and sent to the greys should be a top priority of traders -imo

i also fully understand you not wanting to spend your Saturday teaching me sec rules and regulations- lol

friend I am not fully understanding of why the SEC only waits till after they sell shares to protect the Market makers and the banks.
They do it and the rules say you have to file forms on the pinks to the upper line after the 15 is filed.
if they do not and shares get sold the SEC is proactive to come in and shut it down to protect the banks only.
it may or may not happen here and I will sell the few dollars I have here now as quick as possible with the volume.
\Please add all the volume as it makes it easier to make a great profit.
I do not push these sot kc anymore now as I do not want to see anyone get stuck but I do throw money at them and make some good change.
Making sense of the OBAMA SEC sucks and good luck.

the rules are clear and if someone com[plains here you can get stuck so I am not into teaching everything here and not looking to add hassles to my day so it is up to you.
I got burnt fast in the qtek and even more important many others got stuck as well.
If you get caught here then you have been advised, and if you flip it and get out fast then good for you.
I for one had this marked just waiting for someone else to buy my shares and now you have taken it that direction for me to get out now.

yes they did on the QTEK and it was in 2009. filing the 1515 only stops them from having to file the legal OTCBB reports to the SEC but does not stop them from filing with pink sheets and the market with updates.
here is a fully filing pink and does not get a stop like the others can.

they have to file the top disclosure at least once a year or get the possibility of a halt.

the form 15 is for moving to pinks and you still have to file the pinks lawyer letters and quarterly reports on the upper line.
Just no as formal as the SEC reports for OTCBB market.
If a company does not file anything for updates within two years or so and the SEC gets a complaint they will stop trading till they make a determination.
They have done this several times this year and QTEK is a perfect example of that.
No good to have money in an account that you can not sell the share son Grey.

caution only and be in and out fast before the can halt.
read the qtek board and you will see that when they move from trips to .022 pennies the sec gets a phone call for sure.

why would the SEC suspend trading and boot them to the greys for not reporting if they gave notice to the SEC that they would not be filing reports?

it is a deregister to pinks from the OTCBB and now they are way behind like the QTEK was when the SEC halted it then delisted it to grey sheets and no longer tradable.
Just be careful and be in and out now.

yes it can be fun but better be in and out as the SEC has a great habit now of halting these companies now when they have not filed in years.

take a look at the QTEK as this summer they halted it and everyone got stuck.
Just be fast and in and out for sure.
no good if you get stuck in a grey sheet downlisting and this has the making for it on lack of filings.
