On April 2nd acquired a bunch of shares at 29.7. 6 weeks later 19.7. 34% down in six weeks. What kind of losing operation is this! It's not nanosphere, its nanoupside is what this is. This company is going nowhere but in the tank. Nothing but sellers with this 105 million share dilution machine! This cannabis industry is one big joke, and the joke is on the retail schmucks trying to make a couple of bucks.

When ackman goes in front of congress; congress is like the pupil trying at least "pass" class based on attendance. Do not think they care; more importantly even have any knowledge on the subject. Period.

Nsph is a diagnostic company that has asserts against a DIP that went from $10m to $30m at the same time it's market cap went from $100m to $7m.

The funder went from a $10m investment and a return of $5 (~15m total) to a $20m investment with a $20m return (~$40m) in 6 months...While leaving liquidity so minimal that a return was impossible for retail yet an increased investment resulted in 100% returns on larger money was presented for inside funding....that is not a market place; that is making the market.

Just like freedom of speech has been confused with free information...

My only real interest is how it all plays out.....I've got a large no risk position still....
Imo the head has been chopped, but that also opens up pps range...easy trade if you in the money....

I can't believe in a supposed peaking market nsph took the terms of any funding....which the subsequently failed to reach shortly there after.

Nobody body files a BK; then has judge approve; then within 6 months they fail to fulfill obligations....yet somehow nsph accomplished this amazing feat! How? How was it approved?

The only logical explanation is that it was "sellable" to public, but in reality all big bio players "know" the market is going to tank (or RATHER they have all bet against it (which essentially makes them right)).

Let's go backwards....

In 2017, if all goals are met the company should trade at 4* rev (estimates at ~45-50m =200m)....that's an if...but a very realistic if...... = June 2017 45m O/S; debt of $30m, cash $12m vs burn $4m/quarter (requires $20m funding); = $170m as market cap would wash debt vs equity dilution....$170m / 45m O/S = $4share (it's ludicrous I'm posting these members....solely due to dec 2015 funding round (40m shares), but I have too....liquidity changed it all (funder is liquid and whole)).

But....we are 5 Quaters away from scenario and liquidity did not exist....
50% haircut is still too steep....

$100-120 valuation offer is due....

A competitor will play just to push the envelope...
Non cash transaction could change the scenery
A timely retail sale could MOVE the market....

Could be anybody/ entity....but the original deal was just soooo rediculous there was no chance it would stand....unless somebody with knowledge new they were going to fail an FDA inspection again...and that likely hood was minimal as the casualties that would be wearing orange jumpsuits within a month would have grown by 1000%.

The Q1 was good. Just the outlook was decent. the growth is large and the balance is extremely good. for a conservative outlook SEDG is well known. In order then to exceed the expected. the technology is the competition lightyears assumes. SEDG medium term 100$ pps potential next 2 years.

Lmnx was very clear (I don't blame them- they do not want to be involved in this share structure massacre), $1.35 per share cash. If NO warrants below strike don't exercise they will pay ~$40m and new company will have zero debt and zero cash on hand. Most recent NSPH funder will walk with $26m on their $10m investment (dec 22, 2015 funding). ..... However..... If ALL warrants exercise below strike...Lmnx will pay ~$48m and new company will have zero debt, but it will have $10m is cash; and the dec 22, 2015 funders will wall with $26m on their investment + another .65 per share on 20m shares (the difference between strike = .70 and buyout=1.35) which equals another $13m cash. That's a grand total of ~$39m return on a $10m investment in 5 months that absolutely favors the nsph Dec 2015 funders another 130%++! However it is only a $3m expense to Lmnx!!!! Retail = 1.35.

Most should see whew I am headed with this, but i will continue for those that don't....

Throw away the $1.35 cash per share. Call it $50m even (which is $8m below "pr references price for all O/S" of $58m). That inherently means nobody exercises warrants! The O/S drops to 30m shares which = $1.67 share (more mamagememt options were granted at 1.68 share in sept....they not included....). In this case dec 2015 funder gets $33.4m.

Miss covenant by $300k resulting in 500k dilution, loss is access to capital for 12 months (which subsequently would have resulted in "no" financing in December 2015 ; which subsequently would reduce O/S buy 40m shares ((400% increase)) which would subsequently result in a ~$4-$6 pps!!!!) seriously a $300k covenant resulted in $10m delayed financing (which caused dec 2015 40m share dilution) which subsequently resulted in $1.35 share vs $4-$6 per share!!!!

All estimates were current as of Sunday may 17th. All positions are sold/closed on Friday unless time avaiable to reevaluate 1 hour prior to Friday close.

I have been working on a system that will pay $50k annually on $10k non roll over. The system is designed so that I can invest $10k - $1m with out effecting the market.

I am trying to build a system that I will only need to perfect and improve as my cash/portfolio increases; rather have to implement new strategies as my cash/portfolio increase. I do not want to find a way to successfully invest $10k that will not provide positive results with a $1m investment as well.

I go live in 2 weeks.....gotta stick to what got me here for now.....nsph....bids coming in.....I guarantee it.

I hear the theory and don't want to insult it with just a little retort but hey.I chipped my tooth on a walnut in some Ben and Jerrys ice cream! I have not read all the info yet but maybe the Cash costs (upcoming) were substantial and Luminex is a answer?I guess the future is still bright for Nanosphere employees,science and front office?.It looks like Luminex created a subsidiary to Buy nsph and that is unusual,or maybe not.Includes no stake in Luminex.I really don't know,but such a theory would have some "buzz" and let's see if it gets kicked around.

I've spent to much time thinking about every aspect of this equity to react without knowing what reaction to have...I look forward to the day my experience allows me to make split second decisions that I believe to be correct based on my knowledge and experience....
So I only cut off a bit.....and I thought....

Maybe not the best idea becuase that really hasn't been paying to well; thinking that is; but it also hasn't killed me either...

And after the thinking I have theory that holds merit to wait.....this equity can't even attract vulchers!

IMO, nsph goes to competitor and says I will provide you (lumenex) with an offer you can't refuse. The worse case of the deal is we (nsph) screw ourselves over this outlandish gamble. Lmnx says, your right that deal is way to good...it's a long shot but we carry no risk...they take the offer.

Now, if any competitor thoughts nsph was going to come by even cheaper or default has to finally play. It's now or never.
I fully expect multiple and higher offers.

Nsph basically said come by us; you won't; ok we'll sell out to call your bluff....now what are you going to do?


The idea that the tech was stand alone $30m against a DIP loan, they were doing ~ 40% yoy growth with forecast to be profitable in Q2 2017 (with rev forecasted at $45m for 2017) just doesn't add up to a $48m for everything with tax write offs up the ying yang (because they were declaring all the preferred as losses as it was below current pps---this could have been used to offset gains for years to come)....the $48m for everything occurs because Lmnx will gain an additional $14m cash via exercise of warrants. They essentially get nsph for ~$50m free and clear including clear of all debt! That's a joke in itself.....
