June 01, 2011 09:27 ET Michelex Announces Signing of Contract Between Pristine Pharma Corporation and International Trade Association of America

NEW YORK, NY--(Marketwire - Jun 1, 2011) - Michelex Corporation (PINKSHEETS: MLXO) ("Michelex") announced today that its subsidiary, Pristine Pharma Corporation, has signed a contract with International Trade Association of America for export distribution of six over-the-counter pharmaceutical products. This contract is valued initially at $5.5 million per year, and delivery of these products is to begin in August 2011.

Michelex also announces commencement of due diligence for the acquisition of Vitacoat Corp., Alpro Inc., and G&P International LLC. Michelex expects to complete the due diligence process by the end of June.

In further news, Michelex has received, from the prior management of Michelex, long-awaited financials, dating to FY 2009, and said financials were forwarded for auditing. The current management of Michelex is finalizing accounts through December 2010 and expects the financial audit through FY 2010 to be completed by the end of June.

SUNDAY, NOVEMBER 27, 2011 - Massena Waits For Pharma Company

MASSENA - From his home in Wyoming, Iowa, Glenn E. Pauly is concerned about the future of a Massena pharmaceutical facility.

On an island off the coast of Maine, Dino A. Sawyer is wondering the same thing. And in Wallingford, Conn., a building supply company is continuing to await payment for doors installed at the facility.

They're all concerned about the future of Pristine Pharma, a company which one year ago this week announced plans to open a pharmaceutical plant in the former Michele Audio building on County Route 42. Pristine's plans were great news for Massena, which was continuing to reel from the closure of the General Motors plant in 2009.

The company's CEO, Venkat E. Kakani, originally said the plant on County Route 42 would start production with 25 employees by as early as late March and could employ 100 by the summer of 2012.

Crews worked through the winter to convert the former Michele Audio building into a pharmaceutical plant that would produce liquid medicine. By early March, Pristine hired its first seven employees here - two consultants, a chemist, a mechanical engineer, an operations staffer and two packaging employees - and reportedly produced a batch of DeWitt's Worm Syrup here to be shipped to Guyana, Haiti and Jamaica, Mr. Kakani said.

But soon after, activity at the plant fell quiet. Mr. Kakani had reported the seven initial employees had been moved to the company's New Jersey operations. By summer, Fred I. Wilson, credit manager at Kamco Supply Co. in Wallingford, Conn., was still looking for payment for doors installed the previous winter.

The entrance to the Massena building was locked, and for a time, phone numbers for both Massena and the company's New Jersey office were disconnected.

Four months later, Mr. Wilson said his company has still not received payment for the doors. Kamco has issued a mechanic's lien on the property.

"It's very confusing. I don't understand the whole thing," Mr. Wilson said. "The whole thing is strange."

As summer turned into fall and more time elapsed, investors grew more concerned too, according to Mr. Pauly and Mr. Sawyer. Both had invested in Pristine's parent company, Michelex, which had recently reorganized. The company was trading on "pink sheets," a type of penny stock outside of the New York Stock Exchange that is high risk, high reward, according to Mr. Sawyer, 52 a retiree living on Dingley Island, Maine.

"They're considered the wild west of investing," Mr. Sawyer said. "They typically don't come under Security and Exchange Commission) overview."

Pristine's plans appeared to hold promise and the company was primed to become the principal profit driver for the "new Michelex," Mr. Sawyer said, Michelex is currently trading for about two cents per share. Mr. Sawyer purchased 6 million shares; Mr. Pauly purchased 15 million.

As progress at Pristine's Massena facility came to a stand still, so did communication to investors, Mr. Sawyer said. The last press release Pristine issued on its Web site is from June 1. The company had issued a "draft final audit" of its finances over the summer, but did not specify whether the document was a draft, or the final audit.

Mr. Sawyer still sees promise and potential in Pristine. But he has grown increasingly frustrated with the lack of communication from management.

His last communication was in April. He has sent four or five additional emails since then which have received no response.

"The management has been dysfunctional. I think they've been derelict in some of their basic fiduciary responsibilities," Mr. Sawyer said. "They really have not done a very good job, to put it mildly, of making it look like the company was worth investing in."

Mr. Sawyer said he did not believe Pristine was a scam. And as a pink sheet stock, Michelex does not have to provide quarterly reports like companies on the NYSE.

But Michelex has not made any effort to make itself appear to be a legitimate investment and separate itself from other pink sheet stocks, Mr. Sawyer said.

"Even though they're not required, they can still send out quarterly and annual reports," he said. "If they were transparent, they would be sending a signal of 'We're not like these other companies.'"

"We want them to do the types of things that increase the probability of them being successful," Mr. Sawyer said.

Pristine is still planning on opening in Massena, according to Mr. Kakani. He is currently working on the details and said he hopes to have an update on the plant by December.

Pristine was founded in 2009 before a merger with Michelex, Mr. Kakani said. It had originally contracted work out to other pharmaceutical companies in New Jersey, and its Massena operations were to be its first owned and operated plant.

With the merger, Michelex had promised to fund Pristine's Massena startup, Mr. Kakani said. That funding has not yet come through.

"Michelex is not providing the finances. They were supposed to provide working capital finances. They did not," Mr. Kakani said. "Michelex had promised to provide working capital, which they haven't so far."

Until that happens, Mr. Kakani is reverting to his old business model of contracting work out to other New Jersey manufacturers. A Russian export company and Prstine customer, ITA of America, had toured the Massena facility last winter and is currently having its product produced under Pristine's New Jersey arrangement, Mr. Kakani said..

"Within my limited resources, I am trying to deliver product to the customers," he said.

He blamed the funding draught to Pristine on an internal struggle within Michelex. A final audit of company finances will be coming soon, he said. He said he answers questions and emails about Pistine promptly, but cannot answer questions about Michelex investments as they are out of his control, he said.

"I'm hoping we'll be able to resolve these issues within the next few weeks," he said.

Any news would be a positive step for Mr. Pauly, who echoed many of Mr. Sawyer's sentiments. Like Mr. Sawyer, he still sees much promise in Pristine's plan to ramp up operations in Massena.

"With multiple announcements regarding contracts to supply millions of dollars in product, I began investing more and more money into Michelex. It seemed like a fantastic ground-floor opportunity," he said in an email.

But the lack of communication from Pristine has hurt his confidence in the company.

"I question the commitment of upper management," according to Mr. Pauly, 40, who said he works in sales for a large pharmaceutical company. "It doesn't boost confidence when the phone lines are inoperable and upper management does not respond to emails."

"There are multiple shareholders like myself who would really like some answers to basic questions about the status of the business today and plans for taking it forward."

  MARCH 8, 2011 Pristine Pharma Starts Operations

MASSENA - Pristine Pharma Corp. has begun its manufacturing operations here.

The company shipped out its first medicine on Feb. 23, according to Pristine CEO Venkat E. Kakani.

Pristine Pharma produced a batch of Dewitts Worm Syrup to be exported to customers in Guyana, Haiti and Jamaica. That shipment of de-worming medication came a week after the company registered with the Food and Drug Administration.

Seven employees currently work at the 32,000- square-foot plant on County Route 42: two consultants, a chemist, a mechanical engineer, an operations staffer and two packaging employees.

Three of those hires came from applications filed in the New York state Labor Department's Massena office, Mr. Kakani said. The company is still expecting to grow to 25 employees at the facility by the end of March.

The company's first medicine shipment came only months after New Jersey- based Pristine bought the former Michele Audio building from Massena businessman Thomas Gramuglia.

The Massena plant is the first manufacturing facility owned by Pristine, which had previously contracted its work out to other pharmaceutical manufacturers.

Massena's proximity to the Canadian market and the Port of Montreal were high selling points to locate the company in Massena, Mr. Kakani said previously.

"We are very happy," Mr. Kakani said. "We are very proud to bring that plant there in a short amount of time."

Pristine Pharma recently landed a $2 million contract with a U.S.-based Russian export company to produce aspirin for Russian customers. Aspirin will likely be produced in the plant in the next two to three months, Mr. Kakani said.

The company is also finalizing a contract to make nasal spray for Russian customers. If that contract comes through, nasal spray will be produced in the next four to five months.

A multi-million dollar contract is also being negotiated with a U.S- based nursing home medicine supplier, Mr. Kakani said.

"If they come through, the plant will be full very soon," Mr. Kakani said.

Pristine Pharma is still planning to grow to 100 employees in the next 18 months. Approximately 30 percent of those jobs would be chemists, pharmacists and skilled engineers. The rest of the jobs would be in assembly, packaging, warehousing and distribution.

  JANUARY 22, 2011 Medicine maker set to open next month

MASSENA FACILITY: CEO says building's infrastructure allowed quick development of pharmaceutical plant

MASSENA - The CEO of Pristine Pharma Corp. expects the company to open its manufacturing facility here next month.

Venkat E. Kakani visited this week to meet with local economic development officials and tour the progress of the 32,000-square-foot facility on County Route 42.

Normally, a pharmaceutical plant takes more than a year to build and complete, Mr. Kakani said. But the infrastructure in the former Michele Audio building allowed the company to convert it into a pharmaceutical facility in just three months. The company still needs to move in more equipment and make additional installations in its production facility before it can open.

"This facility is very much in move-in condition," Mr. Kakani said.

Nearly 180 applications have poured in to the state Labor Department for the first 25 positions for which the company is hiring - chemists, mechanical engineers and assembly line workers.

Pristine Pharma originally planned to recruit talent from Central and Western New York, but the company is now planning to do nearly all of its hiring locally because of the large talent pool in the area, Mr. Kakani said.

"The resumes are very, very qualified resumes," he added.

The company will initially make generic over-the-counter nasal and throat sprays in the plant under store brand names and its own label, NuMed. It will then branch out to stomach remedies and cough and cold medicines as time goes on, Mr. Kakani said.

Pristine Pharma has plans to grow to 100 employees over the next 18 months. A company sign in front of the building now greets drivers as they head into the village.

Mr. Kakani said he also spoke Thursday night with Rep. William L. Owens, D-Plattsburgh, who offered his support as the company opened.

Pristine Pharma is planning to use its proximity to the Canadian border to tap into the market and will also ship its products to Russian markets using the Port of Montreal.

Mr. Kakani showed the facility on Friday to Maxim Pantchenko, president of ITA of America, a Florida-based exporting company.

Mr. Pantchenko said ITA is one of the leading U.S. exporters of aspirin to Russia. Now, his company is negotiating a contract with Pristine to export nasal sprays to Russia as well.

ITA already contracts with a manufacturing plant in Long Island. But shipping out of the Port of Montreal is less expensive than shipping out of New York City, he said.

  NOVEMBER 30, 2010 Medicine maker moves to Massena

Pristine Pharma Corporation is a relatively new company. It's made medicines in New Jersey and Middletown, New York for a year and a half. It sells them as store-brand labels in Walgreens, CVS, and Kinneys and exports them under the NuMed label to countries all over the world.

CEO Venkat Kakani says Massena came on his radar when Pristine Pharma became a subsidiary of Michelex Corporation, which once employed 200 people there. Kakani says he visited and fell in love.

When we travel from a busy metropolitan area in New York City and suburbs of New Jersey, the pureness of the water that is available in Massena, it's a nice place to be around.

Kakani says he sells a lot of medicines to Canada and to Russia and the Ukraine, so Massena made strategic sense.

The ports in Montreal are easy access for my customers so they save a lot of money.

Kakani says he plans to begin production at the old Michele Audio plant with a staff of 25 people. He says he expects 70 to 80 percent of those to be local hires.

Massena has been starving for new jobs. General Motors laid off hundreds of people when it shut down late last year. More than a hundred more people have been idled by an extended layoff at Alcoa.

Pristine Pharma CEO Venkat Kakani says he wants to expand and raise employment to 100 people, but he would need local and state help to do it. He's been talking with the St. Lawrence County Industrial Development Agency. IDA director Ray Fountain described the talks as "moving forward" but "preliminary".

Pristine Pharma also plans to apply for low cost power from the new St. Lawrence River Valley Redevelopment Agency. Kakani says he plans to submit the application soon.

If all goes as planned, a New Jersey-based pharmaceutical company could begin making over-the-counter drugs like cough syrup and other liquid medicines by January or February in Massena.

The company hopes to set up shop inside the old Michele Audio warehouse on Outer Willow Street - bringing new manufacturing jobs to the Massena area.

While workers spruce up the outside, equipment and other supplies are being stored inside as the early stages of the building's renovations get underway.

The Pristine Pharma Corporation's website says equipment has been moved to the 32,000 square foot facility where it will be installed to make private label brands and its own NuMed pharmaceutical products.

Company officials say numerous regulatory and financial approvals are needed before the Massena operation can begin production.

"We're happily leading towards Massena provided that we are welcome there with the proper incentives," said Albert Lacle, president and chief executive officer of Michelex Corporation, which owns Pristine Pharma.

Pristine Pharma hopes to export products to Canada and other markets.

The company's pharmaceutical products are currently contract manufactured at federally registered plants in New Jersey and New York and then distributed.

State incentives would be used to help finance the pharmaceutical plant.

The company is also hoping to secure an allocation of low-cost hydro power from the newly formed St. Lawrence River Valley Redevelopment Agency.

Pristine Pharma Corp. expects to open its production facility in the former Michele Audio complex on County Route 42. The Prospect Park, N.J.-based company will produce cough syrup, pain reliever and other liquid medicines under store brand names and its own label, NuMed. The plant may employ up to 100 workers, according to Pristine CEO Venkat E. Kakani.

Approximately 30 percent of those jobs would be for chemists, pharmacists and skilled engineers, Mr. Kakani said. The rest of the jobs would be in assembly, packaging, warehousing and distribution.

"We would like to move there and set up operations and provide employment for the local community," Mr. Kakani said.

Most of the hires will be local, while some of the skilled workers may be recruited from Syracuse or Buffalo or other cities with a high concentration of medical employees, Mr. Kakani said.

Consultants retained by Pristine are in Massena preparing for the building's conversion. The opening of the plant is pending approval of state incentives and a power allocation believed to be coming from the St. Lawrence River Valley Redevelopment Agency. Market Makers Scams
Many market makers and organized clubs also get paid to manipulate stocks. In the case of a Market Maker, if they get a client who pays them to accumulate a particular stock at a certain price then the Market Maker will work either alone or in concert with other Market Makers to bring down the price of a stock in order for them to be able to accumulate the stock for their client. The only way to stop such devious practices is for individual investors to hold on to their stock if they have it and to support the stock by submitting their stocks as hot picks on here and for other investors to support the hot pick with their sentiments and/or recommendations. One would think that the SEC would put a stop to these Market Makers' practices but you see, the SEC is a mafia style organization whose top brass is in bed with the big players. For example, "shorting" a stock is equal to "defamation of character" and such practices must not be allowed at all. When you see an order for 300 shares, 600 shares or 900 shares know this: those are market maker signals to one another to manipulate the stock.
300 means bring the price down at least 30% and
600 means provide resistance and
900 means let the stock float.
You will usually see these trades early in the day, many times pre-market and when the volume slows down or around 1:30 - 2:30 PM EST
Whenever I see Canacrap, First, Annon and other brokerages (even Sprott 17% owner!) manipulating the SP with smal orders 100, 300, 400, 200... I know we are just before a pop in share price. The big boys are just trying to shake out the remaining weak hands.
Watching the trades go through you may sometimes notice very small executions. Some people believe, and remember this is just a theory, those small numbers could be the market maker signals to each other...

100 I need shares.
200 I need shares badly, but do not take the stock down.
300 Take the price down so I can load shares
400 Keep trading it sideways.
500 Gap the stock. This gap can be either up or down, depending on the direction of the 500 signal.
