On October 1, 2018, the board of directors of Baron Energy Inc. ("our," "us") authorized the issuance of 188,100 shares of our Series C Preferred stock to our Executive Vice President and CFO, Lisa P. Hamilton, in lieu of $188,100 of cash compensation, leaving $251,100 owed through July 31, 2018. The share price used was the Series C Preferred Shares stated value of $1.00 per share.

The shares were issued pursuant to the exemption provided by Section 4(2) of the Securities Act for transactions by an issuer not involving a public offering. SAN MARCOS, Texas, Oct. 29, 2012 (GLOBE NEWSWIRE) -- Baron Energy, Inc. (Pink Sheets:BROE) ("Baron" or the "Company"), an independent oil and gas company, announced today that production at its Texas Panhandle project reached a new high in October. Additional reactivation and production enhancement work will be implemented to further increase and stabilize production.

Management Comments

Ronnie L. Steinocher, President and CEO, said, "We have achieved the production targets originally set for this project. We now have 20 oil wells on production and at least another 20 in inventory to be reactivated. In October we hit a new high of 30 BOPD and 30 MCFPD. We plan to bring an additional 1-3 wells on-stream per month and continue to increase production monthly for at least the next 6 months."

Mr. Steinocher added, "We have quadrupled production on this project since its inception in April 2012. There are additional production enhancement and stabilization opportunities we are pursuing. We are testing a chemical program that, based on initial results, has stabilized production on select wells."

Baron owns a 40% interest in this project.

SAN MARCOS, Texas, July 16, 2012 (GLOBE NEWSWIRE) -- Baron Energy, Inc. (Pink Sheets:BROE) ("Baron" or the "Company"), an independent oil and gas company, announced today the continuation of Phase 3 of its Texas Panhandle oil reactivation program and its intentions to proceed with Phase 4 immediately after the completion of Phase 3.

Management Comments

Ronnie L. Steinocher, President and CEO, said, "The completion of Phase 3 was delayed due to severe weather and downed electric power lines. Necessary repairs have been made and we have recommenced field operations for Phase 3. Phase 3 should be completed near the end of July at which time at least 22 oil wells will be on production."

Mr. Steinocher added, "Based on the positive production results to date, a Phase 4 will definitely be implemented on this project. We currently are planning to begin Phase 4 immediately upon completion of Phase 3."
