Alternative Energy ethanol company shutting down
Jun 26, 2008 (The Kansas City Star - McClatchy-Tribune Information Services via
COMTEX) -- Alternative Energy Sources Inc. is ceasing operations after being
unable to expand its ethanol management consulting business and failing to raise
money to build an ethanol plant.
The Kansas City ethanol company, in a filing Wednesday with the Securities and
Exchange Commission, said it would take a $3.1 million charge for closing the
business, including $2.5 million associated with its proposed ethanol plant in
Boone County, Iowa.
Alternative Energy said its remaining employees will be "furloughed" next
Tuesday. The company did not provide the number of workers.
Mark Beemer, chief executive officer, will also serve as chief financial officer
as the company winds down.
After a board meeting Monday, four company directors resigned: Lee L. Blank, W.
Gordon Snyder, John D. McNamara and A. Michael Espy, who served as agriculture
secretary during the Clinton administration.
Ethanol companies have struggled recently as financing has dried up and corn
prices have risen. Another Kansas City ethanol company, Ethanex, filed for
bankruptcy earlier this year.
Alternative Energy signaled in April that it would have to cease operations if
it didn't find financing and said it was concentrating on expanding its
consulting business. In May, the company sued Louis Zehil, a Florida attorney,
for $1.65 million for allegedly engaging in insider trading of the company's
stock.

I think they weren't able to secure sufficient funds to continue with their business plans. They seem to be trying to salvage what they can out of the business in the form of someone buying them out for 50 cents per share.
But, with lack of news on this matter and the fact that they have nothing more than some ethanol plant plans, I doubt they will be able to get 50 cents per share.

Exactly, I think this company will be done for in a few months.
luckily I soldout long ago at around $0.82 cents for only a slight loss... I think the company was too late to the game with their corn-based bio-fuel plan and now face very stiff socioeconomic & political headwinds since experts blame corn-ethanol on higher food costs and food riots in an alarmingly increasing number of countries... They should have embraced newer technologies when many investors mentioned the issue last Summer... IMO

Based on the share price it looks like the buyout offer fell through. If it ever does reappear, I think it will be at 10 cents per share MAX.

The list at the link (see last post) shows no insider selling but only buys.
I ask myself why Mr Beemer and Co who own more than 10 million shares didn´t make their shares to money when share price was higher a few weeks or even few days before.
Would you personally as manager wait to sell in such a situation until your shares are worthless if you knew that your company is at the end??? That is what me makes think that there is still hope for a buyout or another possitive development.
Besides I got an e-mail from Mr Holland. I think they try their best to eventually survive until the market conditions are in better shape.
If this company had any remaining value, the insiders would be buying like crazy.

Nobody asks who is buying all sold shares?
Everybody seems to be in panic and is selling. But who are the people who buy now? And why do they buy now?
You should have to think about the fact that a buyout is still possible and if they think to have cash for next three months there are still 3 months time. In this time a lot of things can happen.
Ya, they look like they are on target to go out of business in June.
It's too bad. I think they're an honest bunch of hard working guys that got to the ethanol party too late.

Prior to the first quarter of 2008, we had no revenues. We had planned to engage in the business of constructing, owning and operating fuel grade ethanol plants in the Midwest corn-belt. To date, we have been unsuccessful in securing the necessary capital to implement our business plan. In order to continue in business it will be necessary to generate cash flow; otherwise the Company will have insufficient funds to continue its business. To generate cash flow, commencing in the first quarter of 2008, we have sought to provide management advisory and consulting services. While we have generated a limited amount of revenue from our consulting activity in early 2008, monthly revenue has not been sufficient to cover the Company's monthly operating expenses. Our only revenue has been derived from a consulting agreement that is scheduled to terminate effective March 31, 2008. As of the date of this report, we have no other immediate prospects of generating additional revenue, other than the proceeds from the settled lawsuit against McGuireWoods LLP discussed in Item 3 above.

Our financial statements as of and for the period ended December 31, 2007 have been prepared on a going concern basis, which contemplates the realization of assets and the settlement of liabilities and commitments in the normal course of business. There can be no guarantee that we will be successful in generating sufficient cash flow from consulting and advisory services to continue as a going concern. If we are unsuccessful, we will cease operations.
The Company had no ethanol operations during 2007, and therefore no material operating or capital expenditures for the period. General and administrative expenditures for the year ended December 31, 2007 totaled $6,852,367. The Company is attempting to reduce its recurring operating cash uses to approximately $150,000 per month in the second quarter of 2008. The Company also anticipates no project development expenditures in 2008 unless significant funding is received.
If we are successful in bringing down our costs to $150,000 per month, and are paid the $320,000 we expect to receive from the McGuireWoods LLP settlement, we estimate we have sufficient cash on hand to continue our business until June, 2008.
To address our ability to continue as a going concern, we have been seeking additional capital through the sale and issuance of equity and debt financing. At this point, we have not been able to obtain this capital.
Our plan was to construct ethanol plants in Boone County, Iowa and Kankakee, Illinois and all permits for those plants were obtained in June, 2007. However, as noted above, we have been unable to obtain the capital to construct the plants. As a result, we were unable to extend the option to purchase land for the Kankakee, Illinois plant. We extended the option to purchase land for the Boone County, Iowa plant until the end of 2008 but must obtain capital to construct the plant which in the current environment may not be possible.
To complete construction and commence operation of the two plants we will need to raise approximately $730 million in new capital. This amount is intended to cover the cost of construction, capitalized interest during construction, pre-operating costs, financing and legal fees and the necessary working capital lines to operate the Plants and provide for risk management hedging activities. If we are unable to obtain this new capital we may not be able to continue as a going concern.
The Company's Board of Directors formed a Special Committee to explore and evaluate strategic alternatives aimed at enhancing shareholder value for the Company's non-management stockholders. Strategic alternatives considered include a possible sale of the Company. The Special Committee has retained the investment banking firm of Christenberry Collet & Company, Inc. to provide independent financial advisory services and has engaged Stinson Morrison Hecker LLP as independent legal counsel. No strategic alternative will be pursued unless it is recommended by the Special Committee.
The Company and a privately-held company (the "Potential Acquiror") entered into a letter agreement to provide financial assurances to the Potential Acquiror for the time and expense incurred in evaluating a possible purchase of the Company. Under the terms of the letter agreement, the Company is free to pursue any strategic transaction including the sale of the Company to another acquiror but is required to pay the Potential Acquiror a fee of $500,000 (and reimburse its reasonable expenses up to $500,000) if, within one year, the Company enters into an agreement with respect to a change-of-control transaction with another acquiror. However, that fee would be payable only upon consummation of such a transaction. There can also be no assurance regarding whether the Board will elect to pursue any other strategic alternatives it may consider, or that any such alternatives will be consummated.
Alternative Energy Sources, Inc. was incorporated on April 8, 2002 as a development stage company that planned to profit by providing consulting services and selling wind energy power systems to the residential, agricultural and small business sectors throughout Washington, Idaho, Montana, and Oregon.
In the 3rd quarter of 2004, the Company stated on Form 10-QSB that it was changing its business plan from focusing on business opportunities within the alternative energy marketplace to identifying and pursuing the development of a new business plan and direction for the Company. The reason for the change of direction was based upon the Company's inability to raise proceeds or generate revenue from its proposed business plan. Since August 19, 2004, until the first quarter of 2008, we had no revenues.

As of December 31, 2007, we had seven full time employees who are responsible for company-wide management, marketing, project management, logistics and administration. If we are successful in obtaining financing, thus allowing us to execute the business plan, we anticipate an increase in employees of up to 25 full time equivalents by the end of 2008. There can be no assurance that the Company will be successful in obtaining the necessary funding to execute our business plan.
Off-Balance Sheet Arrangements
We have no off-balance sheet arrangements.
The only value for the company is in those plans and permits. Are those worth 50 cents per share??? I doubt it, but they are worth something. That is why the current price is still too high, but once it is around 1 to 3 cents per share, then it will probably be a buy. But, it still is too early to tell if that will even be a buy.
I think everyone is starting to realize that Ethanol is worse than oil, and that it is not the sollution. But, as long as some still think it is, there may yet be a bit of money to be made here.
I think this company is dead. It looks like their only revenue stream with their "potential acquiror" has dried up, Wilner resigned from the board, no deal on the horizon, and they have little money in the bank. Their only "significant" assets now seem to be those plans & permits for the Ogden ethanol plant, but most new ethanol plant construction around the country has been halted, so those assets seem worthless. At this point I challenge anybody to find any shareholder value here, existing or potential.

"Termination of a Material Definitive Agreement
On February 15, 2008, Alternative Energy Sources, Inc. (the “Company”) received notice of the termination of the Management Services Agreement dated January 9, 2008, between the Company and a potential acquiror (the “Agreement”). The termination is effective at the end of March 2008.
As previously announced, on January 9, 2008 the Company entered into the Agreement with the potential acquiror pursuant to which the Company provides a range of services to the potential acquiror, as outlined in the Agreement, for a fee of $125,000 per month during the term of the Agreement.
The Company has not entered into an agreement with the potential acquiror providing for the purchase of the Company, and no assurance can be given that any such agreement will be executed. The Company does not intend to provide updates or make any further comment until the outcome of the process is determined or until there are significant developments.

In my opinion, the reason he resigned is because he knows there isn't a future with AENS. The buyout may happen, but will it be at 50 cents per share? Everyone knows that ethanol is not the answer, just ask Cramer or Buffet. In my opinion it is in wind and solar.

Don´t think so. AENS said something about a private-held company and this is a public one. And AENS doesn´t have an existing plant which this company could acquire. So it doesn´t seem that AENS could be the candidate ...
In reply to my e-mail conversation with him, he seemed to really dodge my questions. I guess the filing that they will release later this month might make or break this stock. If they announce that the 50 cent per share buyout offer is no longer on the table, then this will go to a penny or less that day imo.
I e-mailed him about two months ago about their plans for the future, and he replied that they plan on doing this or that if they can convince the potential acquirer and all. He would mention them before to me in an e-mail, now he won't even comment on them. This leads me to believe that something is up.
BTW, his email is holland@aensi.com. It is not that hard to find at all, as it is listed on the website along with e-mail addresses for the other members of management, but he is the only one that I have ever gotten to reply to me.

Why does this stock still even exist?
Hit an all time high? This will never get above 50 cents per share again. I think that AENS will see 5 cents per share before we see 15 cents per share again.
In my opinion, once we see 10 cents per share (which we are slowly getting to) then this will drop far more quickly afterwords.
Yea but don't you see...!?!? When was the last time Congress or anyone else cared about the enviroment or anyone? If they can make money, even for a short period, they will. I think this is going to take off. Maybe hit an all time high, then fold. Worth watching

I actually am not an investor in AENS yet. Been watching it drop for over a year now, glad I didn't invest in this back when yahoo had the 1 year target estimate at like $36 per share.
This seems to be following the same path as AURC, touting a buyout and then dropping a bunch with no news, so I don't think that AENS will be a buy until around 2 to 3 cents per share which will probably happen around May or June. Then there "might" be news with a buyout, but I still don't see how AENS can be worth 50 cents per share.

Looking at the latest news
The article below implies that building a new plant doesn't make any sense any more, and the only practical way to get into this business is to buy an existing plant. OK, that makes perfect sense. We figured that out a long time ago.
It also sounds like they have run out of money, and their people are now contracting themselves out to some other existing ethanol business. That keeps their paychecks from bouncing, presumably until the ethanol business gets back on its feet, and building that Ogden plant becomes viable again?
If all of this is true, it sounds like these AENS guys are expecting a VERY lengthly delay before ever getting back on track with their Ogden plant plans. It also suggests that they are very stubborn, they're going to do everything possible to hang onto those Ogden dreams for as long as it takes to become viable again. In other words, these guys may have found a way for this small company to successfully "hibernate" until the ethanol business improves. Maybe they figure they'll be first in line to build a new plant when market conditions allow.
I've never seen anything like this before. They must really be convinced of the value of their past work. They refuse to give up, even though they're broke, so they're working for somebody else in the meantime. Amazing story, isn't it? To me, it looks like this stock isn't going to zero, but it also isn't going up anytime in the near future until such a time that new ethanol plants become desirable again. (A year, two, or maybe even three?)
If they can collectively earn $125K/month working for somebody else, they must be pretty good in their respective fields. These guys seem to be honest business men, and haven't abandoned shareholders. That says a lot about their character. They just had very bad timing trying to enter the ethanol business, that's all.
Perhaps their strategy is to keep their skills sharp working for this potential acquiring company, and then eventually this other company will buy AENS' Ogden plans, and put them in charge of it? That story would have a happy ending, sort of. The AENS shareholders would get their 50 cents, and the AENS guys would realize their new plant dreams, albeit working for somebody else.
Of course all of this is speculation on my part, based on the little information we have.

BRIEF: Alternative Energy to provide services to potential buyer
Jan 14, 2008 (The Kansas City Star - McClatchy-Tribune Information Services via
COMTEX) -- Alternative Energy Sources Inc. said this morning that it has agreed
to provide services to its potential acquirer in exchange for $125,000 a month.
The agreement provides "incremental cash flow" while Kansas City-based
Alternative Energy considers its options. The company formed in 2006 to build
ethanol producing facilities but has not raised the money necessary.
Last week, the company let expire its option to buy land in Illinois, where it
had planned to build a 110 million gallon plant. Executives said it is cheaper
now to buy an existing plant than to build a new one.
Today's announcement did not identify the company that is considering whether to
buy Alternative Energy.
It listed the services as evaluate corn procurement strategy, commercial
contract review and analysis, risk management review and analysis, operations
evaluation, logistics assessment (rail, truck, barge and ship), due diligence
support and other items as agreed.
Alternative Energy shares were unchanged at 14 cents each in trading on the OTC
Bulletin Board.

So far from the survey results (posted above in the ibox) only 1 person out of the 7 who took the survey, think that AENS will get bought out for 50 cents per share. A couple others think for less than 50 cents, 3 say no buyout, and 1 person didn't answer for some reason.
Over half agree that the only hope for AENS shareholders is for the buyout, and that AENS will go bankrupt if there is no buyout.
I guess time is the only thing that will tell. I personally think that we won't recieve any kind of news about the buyout for 3 to 4 more months and that the buyout will eventually occur around July or August or so. Until then I think that the pps will slowly fall below a nickel by March or April.

That's a good point. I suspect they are operating with only a "skeleton crew", far short of the bandwidth needed to keep the web site properly updated. They're probably just trying to preserve as much cash as possible, hoping the ethanol market will turn around. Let's face it, their objective right now is to sell the company, not attract new retail investors.
